- This Purchase Order constitutes a binding agreement between Horizonte Visual Communications Ltda. (Buyer) and Lente & Luz Fotografia Profissional (Vendor/Photographer) for the provision of professional photography services in Brazil São Paulo and its metropolitan region.
- The Photographer shall provide all necessary equipment, including but not limited to professional-grade camera bodies, lenses, lighting rigs, reflectors, and drone hardware, in accordance with the specifications outlined in the line items above.
- All photographic deliverables must be provided in high-resolution format (minimum 300 DPI, TIFF and JPEG) via a secure digital delivery platform. Physical prints, if requested, shall be delivered to the buyer's office at Av. Paulista, 1578, São Paulo, SP.
- The Photographer warrants that all images delivered under this Purchase Order are original works, free from any third-party intellectual property claims, and that full commercial usage rights are transferred to the Buyer upon full payment.
- Payment shall be made via bank transfer (TED/PIX) to the Vendor's account in Brazilian Real (BRL) within thirty (30) calendar days of receipt of the final invoice and acceptance of all deliverables. The Vendor must issue a valid Nota Fiscal Eletrônica (NF-e) in accordance with Brazilian tax regulations for the state of São Paulo.
- The Photographer is responsible for obtaining all necessary permits, location clearances, and model release forms required for the sessions conducted in Brazil São Paulo. Any additional costs arising from permit fees shall be pre-approved in writing by the Buyer before incurrence.
- In the event of rescheduling due to weather conditions (applicable to outdoor and drone sessions in São Paulo), the Photographer shall notify the Buyer no fewer than 48 hours in advance. Rescheduled sessions shall be completed within seven (7) business days at no additional charge.
- The Photographer shall maintain professional liability insurance with a minimum coverage of BRL 500,000.00 for the duration of this engagement. A certificate of insurance shall be provided prior to the commencement of services.
- Confidentiality: The Photographer agrees to treat all proprietary information, trade secrets, and internal business data encountered during the execution of this Purchase Order as strictly confidential. This obligation survives the termination of this agreement for a period of three (3) years.
- This Purchase Order is governed by the laws of the Federative Republic of Brazil, with specific reference to the Civil Code (Código Civil) and the Consumer Protection provisions where applicable. Any disputes shall be resolved in the courts of the city of São Paulo, State of São Paulo, Brazil.
- Any amendments or modifications to this Purchase Order must be made in writing and signed by authorized representatives of both parties. Verbal agreements shall not be binding.
- The Photographer shall comply with all applicable labor, safety, and environmental regulations in force in the state of São Paulo and the municipality of São Paulo during the execution of services.
