This Purchase Order authorizes the procurement of professional photography services to be rendered by the Photographer identified in Section 2 for the benefit of the Purchasing Entity. All photographic work shall be conducted within the metropolitan area of Chile Santiago, including but not limited to the communes of Providencia, Las Condes, Ñuñoa, and Santiago Centro. The Photographer shall deliver all final edited images in both high-resolution digital format (minimum 6000 × 4000 pixels, TIFF and JPEG) and print-ready files suitable for large-format reproduction.

The Photographer is expected to bring all necessary equipment, including but not limited to professional-grade DSLR or mirrorless camera bodies, a minimum of three interchangeable lenses, studio lighting kits, reflectors, and backup storage media. The Photographer shall also be responsible for post-production editing, color grading, and retouching in accordance with the brand guidelines provided by Andes Corporate Communications SpA.

• A 40% advance payment (CLP 2,760,800) shall be due within five (5) business days of the Photographer's written acceptance of this Purchase Order.
• The remaining 60% balance (CLP 4,141,200) shall be due within ten (10) business days following the Photographer's delivery of all final edited images and written confirmation of project completion.
• All payments shall be made via bank transfer to the Photographer's designated account: Banco de Chile, Cta. Corriente #12-345678-9, RUT 78.912.345-6.
• Late payments shall accrue interest at the rate established by the Banco Central de Chile for overdue commercial obligations.
• The Photographer must issue a valid Factura Electrónica (electronic invoice) compliant with the SII (Servicio de Impuestos Internos) of Chile prior to each payment disbursement.

• Photographer Obligations: The Photographer shall perform all services with professional skill, diligence, and in strict compliance with the creative brief and brand guidelines provided by the Purchasing Entity. The Photographer guarantees that all delivered images are original works, free of third-party intellectual property claims, and that all models, locations, and props have been properly licensed or released.
• Intellectual Property: Upon full payment, all final photographic assets shall become the exclusive property of Andes Corporate Communications SpA. The Photographer retains the right to display a limited selection (up to 10 images) in their professional portfolio for self-promotional purposes, subject to prior written approval from the Purchasing Entity.
• Confidentiality: The Photographer agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, and internal operations of the Purchasing Entity observed during the execution of this Purchase Order in Chile Santiago. This obligation survives the termination of this agreement for a period of three (3) years.
• Cancellation & Rescheduling: Either party may cancel or reschedule a photography session with a minimum of seventy-two (72) hours' written notice. Cancellations within 72 hours shall incur a 50% fee of the scheduled session value. Force majeure events, including but not limited to severe weather conditions affecting Chile Santiago, shall be handled on a case-by-case basis.
• Compliance: The Photographer shall comply with all applicable Chilean labor laws, data protection regulations (Ley 19.628 on Protection of Private Life), and municipal permits required for photography in public spaces within Chile Santiago.
• Warranty: The Photographer warrants that all delivered images shall be free from technical defects, corruption, or unauthorized alterations. Any defective files shall be re-delivered within three (3) business days at no additional cost.
• Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Chile. Any disputes arising from this Purchase Order shall be resolved by the competent courts of Chile Santiago, Metropolitan Region.

By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Photographer in Chile Santiago. This document constitutes a binding commercial agreement upon execution by both parties.
