Acceptance: This Purchase Order shall become a binding contract upon written or electronic acceptance by the Photographer (Lumière Visuelle Studio) within five (5) business days of the issue date. Failure to respond within this period shall render this Purchase Order null and void.
Scope of Services: The Photographer agrees to provide all services as described in the line items above. Any additional services, extended hours, or changes in location within France Lyon must be authorized in writing via a formal amendment to this Purchase Order before execution.
Payment Terms: A 40% advance payment (6,288.00 EUR) is due within ten (10) business days of Purchase Order acceptance. The remaining 60% (9,432.00 EUR) shall be invoiced upon delivery of all final edited images and is payable within thirty (30) days of invoice receipt. Payments shall be made via bank transfer to the account specified by the Photographer.
Deliverables: The Photographer shall deliver all final images in high-resolution JPEG (minimum 300 DPI) and RAW formats via a secure cloud link. The Photographer retains the right to display a maximum of five (5) images per event in their professional portfolio unless otherwise agreed in writing.
Intellectual Property: Upon full payment, all copyrights and reproduction rights to the final delivered images shall transfer to Lyon Corporate Events SARL. The Photographer retains moral rights as the creator under French intellectual property law (Code de la Propriété Intellectuelle).
Cancellation & Rescheduling: Cancellation by the Buyer more than fourteen (14) days before the scheduled date shall result in a 25% fee on the affected line item. Cancellation within fourteen days or on the day of the event shall incur a 75% fee. The Photographer may reschedule a session once with mutual written consent at no additional cost.
Insurance & Liability: The Photographer shall maintain professional liability insurance of no less than 500,000 EUR and equipment insurance for all gear used during the engagement in France Lyon. The Photographer shall be liable for any damage to property caused during the photography session.
Compliance: All services shall be performed in compliance with French labor regulations, data protection laws (GDPR), and any applicable local ordinances in the city of Lyon. The Photographer shall obtain written consent from all individuals photographed, particularly for executive headshots and trade fair documentation.
Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the French Republic. Any disputes shall be submitted to the competent courts of Lyon, France.
Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting the France Lyon region.
