This Purchase Order is issued by Méditerranée Corporate Events SARL to formally request and authorize the procurement of professional Photographer services from Lumière Pro Photographie. The Photographer shall provide comprehensive photographic coverage for the annual Mediterranean Business Summit, to be held at the Palais du Pharo, France Marseille, from 28 to 30 July 2025. The Photographer is expected to deliver high-resolution editorial and commercial imagery suitable for corporate communications, press releases, and archival purposes. All services described in this Purchase Order shall be executed within the France Marseille metropolitan area unless otherwise specified in writing by the Purchasing Party.

- Scope of Work: The Photographer shall provide all photographic and videographic services as detailed in the line items above. The Photographer is responsible for bringing all necessary professional-grade camera equipment, lenses, lighting, and accessories to the France Marseille venue. The Photographer shall arrive no later than 60 minutes before the start of each scheduled session.
- Deliverables and Timeline: All edited high-resolution images (minimum 400) shall be delivered via secure cloud transfer within 10 business days of the event conclusion. The same-day highlight reels must be delivered by 22:00 CET on each respective evening. Printed framed portraits must be installed at the venue no later than 10:00 on 30 July 2025.
- Payment Terms: A 40% advance payment (7,948.80 EUR TTC) is due within 14 days of acceptance of this Purchase Order. The remaining 60% (11,923.20 EUR TTC) shall be invoiced upon satisfactory delivery of all final assets and is payable within 30 days of invoice receipt. Payment shall be made via SEPA bank transfer to the account specified by Lumière Pro Photographie.
- Intellectual Property: Upon full payment, all copyright and reproduction rights to the final images and video content shall transfer to Méditerranée Corporate Events SARL. The Photographer retains the right to use up to 10 images in their professional portfolio, provided the Purchasing Party is credited as the commissioning client in France Marseille.
- Cancellation and Rescheduling: Cancellation by the Purchasing Party more than 30 days prior to the event date shall incur a 25% penalty on the total Purchase Order value. Cancellation within 30 days shall incur a 50% penalty. The Photographer may reschedule up to one session with 48 hours' written notice due to force majeure.
- Insurance and Liability: The Photographer shall maintain professional liability insurance with a minimum coverage of 500,000 EUR valid throughout France, including the France Marseille jurisdiction. The Photographer shall indemnify the Purchasing Party against any third-party claims arising from the Photographer's negligence during the engagement.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the French Republic. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the Commercial Court of Marseille, France Marseille, Bouches-du-Rhône.
- Confidentiality: The Photographer agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, and non-public content observed during the event in France Marseille. No images or footage may be published, shared, or distributed without prior written consent from the Purchasing Party.
- Acceptance: This Purchase Order becomes binding upon written or electronic signature by both parties. The Purchasing Party reserves the right to amend line items by issuing a formal Purchase Order amendment reference.
