Terms and Conditions of This Purchase Order

1. Acceptance: This Purchase Order constitutes a formal and binding request for Photographer services. The Photographer (Golden Lens Photography Studio) must confirm acceptance in writing within five (5) business days of receipt of this Purchase Order. Failure to confirm within this period shall render this Purchase Order null and void.
2. Scope of Work: The Photographer shall provide all photographic services as described in the line items above. The Photographer is responsible for bringing all necessary professional-grade camera equipment, lenses, lighting rigs, drones, and backup storage media to each Ghana Accra venue location. The Photographer must ensure all equipment is insured and in working condition prior to the event date.
3. Event Date and Venue: All on-site Photographer services shall be performed on 22 June 2025 at the Accra International Conference Centre, located in the heart of Ghana Accra. The Photographer team must arrive no later than 07:00 AM for setup and must remain on-site until 05:00 PM unless otherwise agreed in writing.
4. Payment Terms: A deposit of fifty percent (50%) of the total Purchase Order amount, equivalent to GHS 12,075.00, shall be paid within seven (7) days of Purchase Order acceptance. The remaining fifty percent (50%), equivalent to GHS 12,075.00, shall be paid within fourteen (14) days of final delivery of all edited images and the printed photo album to the buyer's office in Ghana Accra. Payment shall be made via bank transfer to the account specified by the Photographer.
5. Intellectual Property: Upon full payment of this Purchase Order, all rights to the final edited photographs, including reproduction, distribution, and commercial use, shall transfer to Accra Creative Events Ltd. The Photographer retains the right to use up to five (5) images in their professional portfolio, provided the buyer's name is credited.
6. Compliance with Ghana Accra Regulations: The Photographer shall comply with all applicable laws and regulations of the Republic of Ghana, including but not limited to the Ghana Data Protection Act (Act 843) regarding the handling of images of identifiable individuals, and any local permits required for drone photography in Ghana Accra. The Photographer is solely responsible for obtaining all necessary permits from the Ghana Civil Aviation Authority for aerial photography.
7. Cancellation and Rescheduling: Either party may cancel this Purchase Order with a minimum of fourteen (14) days' written notice. In the event of cancellation by the buyer, the Photographer shall be entitled to retain the deposit. In the event of cancellation by the Photographer, the Photographer shall refund the full deposit within seven (7) business days.
8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions in Ghana Accra, or public health emergencies.
9. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Ghana. Any disputes arising from this Purchase Order shall be resolved through arbitration in Ghana Accra in accordance with the Arbitration Act, 1998 (Act 562).
10. Confidentiality: The Photographer agrees to maintain strict confidentiality regarding all event details, attendee identities, and proprietary information encountered during the performance of services in Ghana Accra. This obligation shall survive the termination of this Purchase Order for a period of two (2) years.
