This Purchase Order is issued by Meridian Events & Media Pvt. Ltd. to engage the services of a professional Photographer for the coverage of the annual corporate summit and product launch event to be held at the India International Centre, New Delhi, India. The Photographer shall be responsible for capturing high-resolution still images, candid shots, and formal portraits of all attendees, speakers, and key moments throughout the two-day event. All photographic deliverables must be produced in accordance with the creative brief attached as Annexure A to this Purchase Order.

All photographic services shall be rendered at the India International Centre, Lodhi Road, New Delhi, India – 110003. The Photographer and his team are expected to arrive at the venue no later than 07:00 IST on each event day. The final edited image gallery shall be delivered to the Buyer's designated email address within seven (7) calendar days of the event's conclusion. The same-day highlight delivery must be completed by 23:59 IST on the evening of the second event day. All deliverables are subject to the Buyer's written approval before final acceptance under this Purchase Order.

1. This Purchase Order constitutes a binding agreement between the Buyer and the Photographer upon signature by both parties. All terms herein shall be governed by the laws of India, with jurisdiction vested in the courts of New Delhi, India.
2. The Photographer shall provide all necessary professional-grade camera equipment, lenses, lighting rigs, and backup storage media at no additional cost to the Buyer.
3. Payment shall be made via NEFT/RTGS to the vendor's designated bank account in New Delhi, India, within thirty (30) days of receipt of a valid tax invoice and written acceptance of all deliverables.
4. The Photographer shall maintain professional indemnity insurance with a minimum coverage of INR 50,00,000 (Fifty Lakh Rupees) for the duration of the engagement.
5. All raw image files (RAW/CR3/NEF) shall be retained by the Photographer for a period of twelve (12) months and shall be made available to the Buyer upon written request at no additional charge.
6. The Buyer reserves the right to request up to two (2) rounds of revisions on the edited images without incurring additional fees. Any revisions beyond this limit shall be billed at INR 150 per image.
7. In the event of force majeure, including but not limited to severe weather, government-mandated lockdowns, or public health emergencies affecting New Delhi, India, either party may suspend or terminate this Purchase Order without penalty upon forty-eight (48) hours' written notice.
8. The Photographer shall comply with all applicable data protection and privacy regulations under the Information Technology Act, 2000, and the Digital Personal Data Protection Act, 2023, of India.
9. Any dispute arising from this Purchase Order shall first be attempted to be resolved through mediation in New Delhi, India, before escalation to arbitration under the Arbitration and Conciliation Act, 1996.
