1. Description of Purchase OrderThis Purchase Order is issued by Tigris Media & Communications Ltd. to Euphrates Visual Arts & Photography Co. for the engagement of a professional Photographer to provide comprehensive photographic services for a corporate event series scheduled to take place in Iraq Baghdad. This Purchase Order governs all terms, conditions, deliverables, and payment arrangements related to the Photographer's engagement. The Photographer shall be responsible for capturing high-resolution imagery across multiple venues within the city of Baghdad, Iraq, in accordance with the specifications outlined in this document. All services rendered under this Purchase Order must comply with the local regulations of Iraq and the professional standards expected in the Baghdad media industry.

- Acceptance: This Purchase Order shall become a binding agreement upon written acceptance by the Photographer or their authorized representative. The Photographer must confirm acceptance within five (5) business days of receipt of this Purchase Order.
- Payment Terms: Payment shall be made in two installments: fifty percent (50%) upon signing of this Purchase Order, and the remaining fifty percent (50%) within fourteen (14) calendar days following final delivery and acceptance of all photographic deliverables. Payment shall be made via bank transfer to the account designated by Euphrates Visual Arts & Photography Co. in Baghdad, Iraq.
- Deliverables: The Photographer shall deliver all final edited images in high-resolution format (minimum 300 DPI) via secure digital transfer within ten (10) business days of the final photography session. The Photographer retains the right to use a limited selection of images for personal portfolio purposes, subject to prior written approval from Tigris Media & Communications Ltd.
- Location and Logistics: All photography sessions under this Purchase Order shall be conducted at pre-arranged locations within Iraq Baghdad. The Photographer is responsible for obtaining any necessary local permits, venue access clearances, or security clearances required to operate in Baghdad, Iraq. The Purchasing Party shall provide venue access and coordination support.
- Intellectual Property: Upon full payment, all rights, title, and interest in the final photographic works shall transfer exclusively to Tigris Media & Communications Ltd. The Photographer warrants that all images are original and do not infringe upon any third-party intellectual property rights.
- Cancellation and Modification: Either party may cancel or modify this Purchase Order with a minimum of seven (7) days' written notice. In the event of cancellation by the Purchasing Party after the Photographer has commenced work, the Photographer shall be compensated for all services rendered up to the date of cancellation.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to political instability, security disruptions, or government-imposed restrictions within Iraq Baghdad.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Iraq. Any disputes arising from this Purchase Order shall be resolved through arbitration in Baghdad, Iraq, in accordance with the Iraqi Arbitration Law.
- Confidentiality: The Photographer agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, and sensitive content encountered during the execution of this Purchase Order in Iraq Baghdad.
The Photographer engaged under this Purchase Order must demonstrate a minimum of five (5) years of professional experience in corporate and event photography. The Photographer must possess a valid professional photography license issued by the relevant Iraqi authority and must carry comprehensive professional liability insurance with a minimum coverage of USD 100,000. The Photographer must be proficient in operating professional-grade camera systems, lighting equipment, and post-production software. Given the operational environment in Iraq Baghdad, the Photographer must also demonstrate familiarity with local security protocols and be prepared to operate under the guidance of the Purchasing Party's security team at all times.
5. Acceptance and SignaturesBy signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Photographer in Iraq Baghdad. This document constitutes the complete and final agreement between the parties regarding the subject matter herein and supersedes all prior negotiations, representations, or agreements.
