- This Purchase Order constitutes a binding agreement between Golden Horizon Media & Events Co., Ltd. (hereinafter "the Buyer") and Shwe Photography Studio (hereinafter "the Photographer / Vendor") for the provision of professional photography services as itemized above.
- All photography services shall be performed by the designated Photographer, U Aung Kyaw Min, or by a substitute of equivalent skill and experience with prior written approval from the Buyer. The Photographer must hold a valid Myanmar photography license and carry professional liability insurance of no less than USD 50,000.
- All on-site work shall take place within the Myanmar Yangon metropolitan area unless otherwise specified in writing. The Photographer is responsible for obtaining any necessary location permits, building access clearances, or drone flight authorizations required by local Myanmar Yangon authorities prior to the service date.
- Delivery of final edited images shall be made via secure cloud transfer within fourteen (14) calendar days of the last service date. All original RAW files shall be retained by the Photographer for a minimum of twelve (12) months and delivered upon written request.
- The Buyer shall have full commercial usage rights to all images produced under this Purchase Order, including but not limited to print, digital, broadcast, and social media distribution. The Photographer retains the right to display a limited selection in a personal portfolio, subject to the Buyer's prior written consent for any client-identifiable imagery.
- Payment shall be made within thirty (30) days of receipt of a valid tax invoice from the Photographer. Payment shall be processed via bank transfer to the account specified on the invoice. Late payments shall accrue interest at 1.5% per month.
- The Photographer warrants that all deliverables shall be free from defects, properly color-calibrated, and delivered at the resolution and format specified in this Purchase Order. Any rework due to non-conformance shall be performed at no additional cost to the Buyer.
- Either party may terminate this Purchase Order with seven (7) days' written notice in the event of material breach. Upon termination, the Buyer shall pay for all services satisfactorily rendered up to the date of termination.
- This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of the Union of Myanmar. Any disputes arising hereunder shall be resolved through arbitration in Myanmar Yangon under the rules of the Myanmar Arbitration Centre.
- The Photographer shall comply with all applicable Myanmar data protection and privacy regulations when handling images of identifiable individuals. Written consent forms shall be collected on-site for all portrait subjects.
