This Purchase Order is issued by Himalayan Creative Media Pvt. Ltd. to engage the services of Photographer Prakash Gurung for a comprehensive commercial photography project to be executed in Nepal Kathmandu. The Photographer shall deliver professional-grade imagery in accordance with the specifications outlined below. All services shall be performed within the Kathmandu Valley region of Nepal, with primary shooting locations including Thamel, Boudhanath Stupa, Swayambhunath, and the company's headquarters in New Road, Kathmandu.

- This Purchase Order constitutes a binding agreement between the Purchasing Party and the Photographer upon signature by both parties. All terms herein shall be governed by the laws of the Kingdom of Nepal, with jurisdiction in the courts of Kathmandu.
- The Photographer shall provide all professional equipment, including but not limited to DSLR/mirrorless cameras, lenses, lighting rigs, reflectors, and editing software, necessary to complete the project in Nepal Kathmandu.
- All final image files shall be delivered in TIFF (300 DPI) and JPEG (web-optimized) formats via secure cloud transfer. The Photographer retains the right to display the work in a personal portfolio, subject to a 30-day embargo period from delivery.
- Payment shall be made within thirty (30) calendar days of receipt of a valid tax invoice from the Photographer. Payment shall be processed via bank transfer to the account specified on the invoice. Late payments shall incur interest at 1.5% per month as per Nepal's commercial lending norms.
- The Photographer agrees to maintain full professional liability insurance covering equipment damage, personal injury, and third-party property damage during all shoots conducted in Nepal Kathmandu. A certificate of insurance shall be provided prior to the first shooting day.
- Any changes to scope, locations, or deliverables must be documented in a written amendment to this Purchase Order, signed by both parties, before additional work commences.
- The Photographer shall comply with all local regulations, including obtaining necessary permits for photography at heritage sites in Kathmandu Valley. All permit costs are included in Line Item 5.
- Confidentiality: The Photographer shall not disclose any proprietary information, trade secrets, or unreleased product details encountered during the engagement in Nepal Kathmandu.
- Force Majeure: Neither party shall be liable for delays caused by natural disasters (including earthquakes), government-mandated closures, or other events beyond reasonable control, as commonly recognized under Nepali commercial law.
- This Purchase Order is valid for acceptance within fourteen (14) days of the issue date. Failure to accept within this period shall render this document null and void.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Photographer in Nepal Kathmandu.
