1. Scope of Work: This Purchase Order authorises the Photographer, Alejandro Vega Fotografía, to perform the photography and post-production services described in the line items above. All services shall be rendered in Spain Madrid unless otherwise specified in writing by the Buyer.
2. Payment Terms: Payment shall be made within thirty (30) calendar days of receipt of a valid invoice from the Photographer. Payment shall be executed via bank transfer to the account designated on the invoice. The Buyer’s reference shall include the Purchase Order number PO-2025-SPM-04872.
3. Deliverables: The Photographer shall deliver all final images in a secure cloud folder accessible to the Buyer. Ownership of all final edited images transfers to the Buyer upon full payment. The Photographer retains the right to display a maximum of five (5) images in a personal portfolio, subject to prior written approval from the Buyer.
4. Intellectual Property: All raw files, edited images, and derivative works created under this Purchase Order shall be the exclusive property of Iberia Visual Communications S.L. The Photographer warrants that all work is original and does not infringe upon any third-party intellectual property rights under Spanish law (Ley de Propiedad Intelectual, Real Decreto Legislativo 1/1996).
5. Insurance and Liability: The Photographer shall maintain professional liability insurance with a minimum coverage of 300,000 EUR, valid throughout the territory of Spain Madrid and the rest of Spain. A certificate of insurance shall be provided to the Buyer no later than five (5) business days prior to the first service date.
6. Cancellation and Rescheduling: Either party may cancel or reschedule a service date with a minimum of seven (7) business days’ written notice. Cancellations within seven (7) business days of the scheduled date shall incur a fee of 50% of the applicable line-item price. Force majeure events, including but not limited to severe weather affecting drone operations in Spain Madrid, shall be exempt from cancellation fees.
7. Confidentiality: The Photographer agrees to treat all information obtained during the performance of services under this Purchase Order as strictly confidential. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
8. Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of Spain. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Madrid, Spain.
9. Compliance: The Photographer confirms compliance with all applicable Spanish data protection regulations (Ley Orgánica 3/2018 de Protección de Datos Personales y garantía de los derechos digitales) and the EU General Data Protection Regulation (GDPR) with respect to any personal data captured during photography sessions in Spain Madrid.
10. Amendments: No modification to this Purchase Order shall be valid unless made in writing and signed by both parties. Verbal agreements or informal communications shall not constitute a valid amendment.
