This Purchase Order is issued by Meridian Events & Media Solutions Ltd. to formally engage the services of a professional Photographer for the corporate summit event to be held in Turkey Ankara. The Photographer shall be responsible for all visual documentation, including but not limited to keynote speeches, panel discussions, networking sessions, and the official gala dinner. All deliverables must meet the quality standards specified in the attached Statement of Work (SOW-ANK-2025-011).

1. Acceptance: This Purchase Order becomes binding upon written acceptance by the Photographer (Ankara Lens Photography Studio LLC) within five (5) business days of the issue date. Failure to respond within this period shall be interpreted as a decline of this Purchase Order.
2. Service Location: All photography services under this Purchase Order shall be performed exclusively at the designated venue in Turkey Ankara: Grand Ankara Convention Center, 88 Atatürk Boulevard, Çankaya, 06700 Ankara, Turkey. The Photographer is responsible for arriving at least 90 minutes prior to the start of each scheduled session.
3. Payment Terms: A 40% advance payment (TRY 62,928.00) shall be remitted via bank transfer to the IBAN specified above within seven (7) business days of Purchase Order acceptance. The remaining 60% (TRY 94,392.00) shall be paid within fifteen (15) business days following delivery and acceptance of all final edited images and the highlight video reel.
4. Deliverables: The Photographer shall deliver a minimum of 500 fully edited, high-resolution (minimum 6000px on the long edge) JPEG and RAW images, organized by session and date, via a secure cloud link. The 3-minute highlight video shall be delivered in 4K (3840x2160) MP4 format.
5. Intellectual Property: Upon full payment, all rights to the final images and video content shall transfer to Meridian Events & Media Solutions Ltd. The Photographer retains the right to use up to ten (10) images for personal portfolio purposes, provided that the client's name is credited.
6. Cancellation and Rescheduling: Cancellation by the client more than 14 days before the event date in Turkey Ankara shall result in a 25% penalty on the total Purchase Order value. Cancellation within 14 days shall incur a 50% penalty. The Photographer may reschedule up to one (1) time with mutual written agreement.
7. Insurance and Liability: The Photographer shall maintain professional liability insurance with a minimum coverage of TRY 5,000,000 for the duration of the engagement in Turkey Ankara. A certificate of insurance shall be provided prior to the event date.
8. Compliance: The Photographer agrees to comply with all applicable Turkish commercial law, data protection regulations (KVKK – Kişisel Verilerin Korunması Kanunu), and venue-specific photography policies in Turkey Ankara. All attendee images shall be handled in accordance with KVKK consent requirements.
9. Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through the Ankara Commercial Courts. The governing law shall be the Republic of Turkey.
10. Force Majeure: Neither party shall be liable for delays or non-performance caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting Turkey Ankara.
