- This Purchase Order constitutes a binding agreement between East African Media & Events Ltd. (hereinafter "the Buyer") and Apex Visuals Photography Studio (hereinafter "the Vendor") for the provision of professional Photographer services in Uganda Kampala and its surrounding areas.
- The Photographer and their team shall arrive at the designated location in Uganda Kampala no later than thirty (30) minutes prior to the scheduled start time of each engagement. Failure to do so shall entitle the Buyer to a 10% reduction in the applicable line item fee.
- All photographic deliverables must be provided in high-resolution format (minimum 300 DPI, TIFF or RAW) via a secure digital transfer platform. The Photographer shall retain full copyright of the original images but grants the Buyer a perpetual, royalty-free commercial licence for use in marketing, press, and internal communications.
- Payment shall be made within thirty (30) calendar days of receipt of a valid tax invoice from the Vendor, issued in accordance with the regulations of the Uganda Revenue Authority. Payment shall be made via bank transfer to the Vendor's designated account in Kampala, Uganda.
- The Photographer is required to carry valid professional indemnity insurance with a minimum cover of UGX 50,000,000, valid throughout the duration of this Purchase Order. A certificate of insurance must be provided to the Buyer prior to the commencement of services.
- All services under this Purchase Order shall be performed in full compliance with the laws of the Republic of Uganda, including but not limited to the Uganda Data Protection and Privacy Act, 2019, particularly regarding the capture and storage of images of identifiable individuals in Uganda Kampala.
- The Vendor shall provide a minimum of two (2) backup Photographer personnel in the event of illness or emergency, ensuring uninterrupted service delivery at all Uganda Kampala locations specified herein.
- Any changes to scope, schedule, or location of the Photographer engagement must be approved in writing by the Buyer's Procurement Manager prior to execution. Unauthorised changes shall not be eligible for payment under this Purchase Order.
- The Buyer reserves the right to inspect and reject any deliverables that do not meet the agreed quality standards. Rejected items must be re-delivered by the Photographer within five (5) business days at no additional cost.
- This Purchase Order is governed by the laws of the Republic of Uganda. Any disputes arising from this agreement shall be subject to the exclusive jurisdiction of the courts of Uganda Kampala.
- This Purchase Order shall remain valid until 30 July 2025, after which it shall automatically lapse unless renewed in writing by both parties.
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for Photographer services to be delivered in Uganda Kampala.
