This Purchase Order authorises the engagement of the above-named Photographer for the provision of comprehensive professional photography services in connection with the Meridian Corporate Events Ltd. Annual Stakeholder Conference, to be held at the National Exhibition Centre (NEC), Birmingham, United Kingdom, on the 28th and 29th June 2025. The Photographer shall be responsible for all aspects of visual documentation, including but not limited to keynote speaker portraits, panel discussion coverage, attendee networking photography, product launch still-life imagery, and post-event editorial retouching. The Photographer is expected to operate in full compliance with all applicable United Kingdom data protection regulations (UK GDPR) and the Data Protection Act 2018, particularly with regard to the capture and processing of biometric and personal image data of attendees within the United Kingdom Birmingham venue.

Payment against this Purchase Order shall be made by BACS bank transfer to the account details provided by the Photographer on the accompanying tax invoice. A deposit of fifty percent (50%) of the total Purchase Order value, amounting to £4,374.00, is due within seven (7) calendar days of the date of issue of this Purchase Order. The remaining balance of fifty percent (50%), amounting to £4,374.00, shall be payable within thirty (30) days of receipt of a valid VAT invoice from the Photographer, provided that all deliverables specified in Section 4 have been accepted in writing by the Buyer. Late payments shall attract interest at the rate of four percent (4%) per annum above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998, as applicable within the United Kingdom.
6. Terms and Conditions- This Purchase Order is governed by and shall be construed in accordance with the laws of England and Wales. Any disputes arising in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the courts of the United Kingdom Birmingham region.
- The Photographer warrants that all services rendered under this Purchase Order shall be performed with reasonable skill and care, in a professional and workmanlike manner, and in compliance with all applicable United Kingdom legislation, including the Copyright, Designs and Patents Act 1988 and the UK GDPR.
- Upon completion and acceptance of all deliverables, full copyright and intellectual property rights in the final edited images shall transfer to Meridian Corporate Events Ltd. The Photographer retains the right to use up to ten (10) images for personal portfolio and marketing purposes, subject to prior written approval from the Buyer.
- The Photographer shall provide a minimum of forty-eight (48) hours' written notice in the event of any inability to perform the services specified in this Purchase Order. In such an event, the Photographer shall, at the Buyer's sole discretion, either arrange a suitably qualified substitute Photographer of equivalent standing or refund any monies already paid in full.
- All personal data collected by the Photographer in the course of performing services under this Purchase Order within the United Kingdom Birmingham venue shall be processed in strict accordance with the UK GDPR and the Data Protection Act 2018. The Photographer shall act as a data processor on behalf of the Buyer and shall not retain, share, or use any attendee image data for any purpose other than that specified herein without express written consent.
- The Photographer shall carry a minimum of £5,000,000 in public liability insurance and shall provide a certificate of insurance to the Buyer no later than five (5) business days prior to the commencement of services.
- This Purchase Order may not be assigned or sub-contracted by the Photographer without the prior written consent of the Buyer. Any breach of this clause shall constitute a material breach entitling the Buyer to terminate this Purchase Order immediately.
- Force majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order to the extent that such failure is caused by events beyond the reasonable control of the affected party, including but not limited to acts of God, civil unrest, or government-imposed restrictions within the United Kingdom.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order. This Purchase Order shall remain in full force and effect from the date of issue until the completion of all services and the final settlement of all financial obligations. Any amendments to this Purchase Order must be made in writing and signed by both parties to be valid.
