2. Scope of Services — Photographer EngagementThis Purchase Order is issued by Northbridge Media & Events Ltd. to engage the services of a professional Photographer for a comprehensive corporate and event photography project. The Photographer shall provide all necessary equipment, post-production editing, and delivery of final image assets in accordance with the specifications outlined below. All services are to be performed within the United Kingdom Manchester area, including but not limited to the city centre, Salford Quays, and the surrounding Greater Manchester districts. The Photographer is expected to demonstrate professional competency, adherence to UK data protection regulations (UK GDPR), and compliance with all applicable photography industry standards in the United Kingdom Manchester region.

4.1 This Purchase Order is governed by the laws of England and Wales. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts in Manchester, United Kingdom.
4.2 The Photographer (Apex Visual Studios) warrants that all services shall be performed in a professional and workmanlike manner, in full compliance with the UK Copyright, Designs and Patents Act 1988, and all applicable data protection legislation including the UK GDPR and the Data Protection Act 2018.
4.3 All photographic assets delivered under this Purchase Order shall be the exclusive intellectual property of Northbridge Media & Events Ltd. upon full payment. The Photographer retains the right to display a limited selection of images in a professional portfolio, subject to prior written consent from the Buyer.
4.4 Payment shall be made via BACS bank transfer to the account specified by the Photographer within thirty (30) calendar days of receipt of a valid tax invoice. Late payments shall accrue interest at the rate of 4% above the Bank of England base rate per annum, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
4.5 The Photographer shall carry adequate professional indemnity insurance (minimum £5,000,000) and public liability insurance (minimum £10,000,000) for the duration of all services rendered in the United Kingdom Manchester area. Certificates of insurance shall be provided upon request.
4.6 Cancellation by either party must be communicated in writing no fewer than fourteen (14) calendar days prior to the scheduled service date. Cancellation within fourteen days shall incur a fee of 50% of the total Purchase Order value. Cancellation within seventy-two (72) hours shall incur a fee of 100% of the total Purchase Order value.
4.7 The Photographer shall comply with all health and safety regulations applicable to photography operations in the United Kingdom Manchester area, including but not limited to the Management of Health and Safety at Work Regulations 1999 and any local authority permits required for drone operations or public space photography.
4.8 This Purchase Order shall remain valid for acceptance for a period of fourteen (14) calendar days from the date of issue. Acceptance shall be confirmed in writing by the Photographer via email to the Buyer's procurement department.
5. Delivery and AcceptanceAll photographic deliverables shall be provided to the Buyer via secure cloud transfer (e.g., WeTransfer, Dropbox Business, or equivalent) and, where requested, on physical media (SD cards or USB drives) delivered to the Buyer's offices in Manchester, United Kingdom. The Buyer shall have fourteen (14) calendar days from the date of delivery to inspect and accept or reject the deliverables. Rejection must be accompanied by a written description of the specific deficiencies. The Photographer shall rectify any rejected items within seven (7) calendar days at no additional cost.
6. AuthorisationThis Purchase Order is authorised and issued by the undersigned on behalf of Northbridge Media & Events Ltd. The Photographer is requested to confirm acceptance of all terms and conditions set forth in this document by signing below and returning a copy to the Buyer's procurement office in Manchester, United Kingdom.
