This Purchase Order is issued by Silk Road Media Group LLC to formally engage the services of a professional Photographer for a comprehensive visual documentation project to be conducted in Uzbekistan Tashkent. The Photographer shall be responsible for capturing high-resolution editorial, commercial, and documentary photography across multiple locations within the city of Tashkent, the capital of the Republic of Uzbekistan. The scope of work includes but is not limited to: architectural photography of historic landmarks such as the Registan Square, Chorsu Bazaar, and the Tashkent Metro stations; corporate headshots for the client's executive team; lifestyle and cultural photography documenting local artisan workshops, textile markets, and traditional cuisine establishments; and event coverage for the annual Tashkent International Business Forum scheduled for August 2025.
The Photographer is expected to possess a minimum of seven (7) years of professional experience, a verified portfolio demonstrating expertise in both editorial and commercial photography, and full familiarity with the cultural and logistical considerations of working in Uzbekistan Tashkent. All deliverables must comply with the visual branding guidelines provided by the Buyer and adhere to the regulatory standards set forth by the Ministry of Culture of the Republic of Uzbekistan regarding the depiction of national heritage sites.

* All prices are quoted in Uzbek Som (UZS). Equivalent in USD at the National Bank of Uzbekistan rate on the date of issue: approximately USD 4,850.00. Payment shall be processed in UZS via bank transfer to the Photographer's registered account in Tashkent.
4. Terms and Conditions of This Purchase Order- Acceptance: This Purchase Order becomes a binding agreement upon written acceptance by the Photographer. The Photographer must sign and return a copy of this document within five (5) business days of receipt. Failure to respond within this period shall render this Purchase Order null and void.
- Payment Terms: A 40% advance payment (UZS 24,774,400) shall be due within seven (7) business days of Purchase Order acceptance. The remaining 60% (UZS 37,161,600) shall be payable within fourteen (14) business days following final delivery and written acceptance of all photographic deliverables by the Buyer's creative director.
- Delivery Schedule: All raw and edited images shall be delivered via secure cloud transfer no later than 10 business days following the completion of each photography session. The Photographer shall retain all original files for a minimum of twelve (12) months as a backup obligation.
- Intellectual Property: Upon full and final payment, all rights, title, and interest in the delivered photographs shall transfer exclusively to Silk Road Media Group LLC. The Photographer retains the right to display a maximum of ten (10) images in a personal portfolio for self-promotional purposes, subject to prior written approval from the Buyer.
- Compliance with Local Law: The Photographer acknowledges that all work shall be performed in full compliance with the laws of the Republic of Uzbekistan, including but not limited to the Civil Code of Uzbekistan, the Law on Copyright and Related Rights, and any applicable municipal regulations in Tashkent regarding photography in public and heritage-protected spaces. Permits required for photography at Registan Square or other UNESCO-recognized sites shall be obtained at the Photographer's expense and coordinated with the Buyer's legal team.
- Insurance: The Photographer shall maintain professional liability insurance with a minimum coverage of UZS 100,000,000 for the duration of the engagement in Uzbekistan Tashkent. A certificate of insurance shall be provided prior to the commencement of any on-site work.
- Force Majeure: Neither party shall be liable for delays or non-performance resulting from events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions, or public health emergencies affecting operations in Tashkent, Uzbekistan.
- Governing Law and Dispute Resolution: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Uzbekistan. Any disputes arising hereunder shall first be subject to good-faith negotiation. If unresolved within thirty (30) days, the matter shall be referred to the Tashkent City Arbitration Court for binding resolution.
- Confidentiality: The Photographer agrees to maintain strict confidentiality regarding the Buyer's business operations, client identities, and any proprietary information encountered during the course of this engagement in Uzbekistan Tashkent. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of termination by the Buyer for convenience, the Photographer shall be compensated for all services rendered and expenses incurred up to the date of termination.
