- Scope of Engagement: This Purchase Order authorizes the procurement of specialized Physicist services as detailed in the line items above. The contracted Physicist, Dr. Alejandro Ríos, holds a Doctorate in Theoretical Physics from the Universidad de Buenos Aires and possesses a minimum of fifteen (15) years of professional experience in quantum mechanics and experimental physics.
- Place of Performance: All services under this Purchase Order shall be rendered at the buyer's laboratory facility located in Argentina Buenos Aires, specifically at Av. Corrientes 2340, Piso 12. Remote work may be permitted for up to 20% of contracted hours with prior written approval from the Procurement Director.
- Payment Schedule: Payment shall be made in three (3) equal installments: 40% upon execution of this Purchase Order, 35% upon delivery of the computational simulation framework (Item 02), and 25% upon final acceptance of all deliverables. All payments shall be processed via bank transfer to the account designated by the supplier in Argentina Buenos Aires.
- Intellectual Property: All research outputs, data, models, and documentation produced by the Physicist in the course of fulfilling this Purchase Order shall be the exclusive property of Instituto de Investigaciones Científicas S.A. The Physicist retains the right to reference the work in academic publications only with prior written consent from the buyer.
- Compliance with Argentine Law: This Purchase Order is governed by the laws of the Argentine Republic. All tax obligations, including IVA and professional services taxes applicable in Argentina Buenos Aires, shall be borne as indicated in the totals section. Both parties comply with the Argentine Labor Code (Ley de Contrato de Trabajo No. 20.744) and applicable regulations from the Administración Federal de Ingresos Públicos (AFIP).
- Confidentiality: The Physicist shall maintain strict confidentiality regarding all proprietary data, experimental results, and trade secrets encountered during the performance of this Purchase Order. This obligation survives the termination of the contract for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the buyer shall compensate the Physicist for all services rendered up to the effective date of termination, plus any non-recoverable expenses pre-authorized in writing.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through binding arbitration in Argentina Buenos Aires, in accordance with the rules of the Argentine Chamber of Commerce. The language of arbitration shall be Spanish, with English translations provided for all technical physics documentation.
- Acceptance Criteria: Deliverables shall be deemed accepted upon written confirmation from the buyer's Chief Scientific Officer. The buyer reserves the right to request revisions within fifteen (15) business days of initial delivery at no additional cost to the buyer.
