The Physicist shall commence all services no later than 1 July 2025 and shall complete the full scope of work by 31 December 2025. All on-site work shall take place at the QARI premises in Australia Brisbane during standard business hours (08:30–17:00 AEST), unless otherwise agreed in writing. The Physicist is required to maintain a minimum on-site presence of three (3) full days per week at the Australia Brisbane facility. Remote consultancy sessions may be conducted via secure video link for up to two (2) days per week, provided that all sensitive data remains within Australian jurisdiction in compliance with the Privacy Act 1988 (Cth).

Payment under this Purchase Order shall be made in accordance with the following schedule:

1. Progress Payment 1: 30% of the total Purchase Order value ($24,552.00) due within fourteen (14) calendar days of the commencement date, payable by electronic funds transfer (EFT) to the Physicist’s nominated bank account.
2. Progress Payment 2: 40% of the total Purchase Order value ($32,736.00) due upon completion and acceptance of the Phase II peer review deliverables, no later than 30 September 2025.
3. Final Payment: The remaining 30% of the total Purchase Order value ($24,552.00) due within twenty-one (21) calendar days of final acceptance of all deliverables and submission of the completed white papers.

All payments are subject to the Physicist providing a valid tax invoice in accordance with the Australian Taxation Office (ATO) requirements. Late payments shall attract interest at the rate prescribed under the Interest on Late Payments of Government Debts Act 1983 (Cth).

1. This Purchase Order is governed by the laws of the State of Queensland and the Commonwealth of Australia. Any disputes arising from this Purchase Order shall be resolved through the Queensland Small Claims Commission or, where the amount exceeds the jurisdictional threshold, the Supreme Court of Queensland, Brisbane.
2. The Physicist warrants that all services rendered under this Purchase Order shall be performed with the skill, care, and diligence expected of a qualified and experienced Physicist operating in Australia Brisbane, and in full compliance with all applicable Australian Standards (AS/NZS) and institutional safety protocols.
3. The Physicist shall maintain professional indemnity insurance with a minimum cover of AUD $5,000,000 and public liability insurance of AUD $10,000,000 for the duration of this Purchase Order. Certificates of insurance shall be provided to QARI prior to commencement.
4. All intellectual property, research data, and documentation produced by the Physicist in the course of performing this Purchase Order shall vest in QARI upon full payment. The Physicist retains the right to reference the engagement in professional portfolios, subject to a thirty (30) day prior written notice to QARI.
5. The Physicist shall comply with all occupational health and safety obligations under the Work Health and Safety Act 2011 (Qld) while on the QARI premises in Australia Brisbane.
6. Either party may terminate this Purchase Order with thirty (30) days’ written notice. In the event of termination, the Physicist shall be compensated for all services rendered up to the date of termination, less any amounts already paid.
7. This Purchase Order does not create a partnership, joint venture, or agency relationship between the parties. The Physicist is engaged as an independent contractor and not as an employee of QARI.

By signing below, the authorised representatives of both parties acknowledge and accept the terms, conditions, and scope of work set out in this Purchase Order. This document constitutes a binding agreement for the engagement of the Physicist by QARI for the performance of professional services in Australia Brisbane.
