This Purchase Order is issued by Melbourne Advanced Research Institute (MARI) to engage the above-named Physicist for a period of twelve (12) months to deliver specialist physics consultancy services within the Australia Melbourne metropolitan region. The Physicist shall provide expert technical guidance, research oversight, and applied problem-solving in the fields of quantum optics, electromagnetic field theory, and advanced materials characterisation. All deliverables and on-site work shall be conducted in accordance with the Australian Standards for laboratory safety (AS/NZS 2745) and the relevant provisions of the Victorian Occupational Health and Safety Act 2004.

4.1 This Purchase Order constitutes a binding agreement between Melbourne Advanced Research Institute and Whitfield Physics Consultancy Pty Ltd upon signature by both parties. All services described herein shall be performed by the named Physicist or, with prior written approval from MARI, by a suitably qualified substitute Physicist of equivalent or higher standing.

4.2 The Physicist shall comply with all applicable Australian and Victorian legislation, including but not limited to the Privacy Act 1988 (Cth), the Fair Work Act 2009 (Cth), and the Victorian Equal Opportunity Act 2010. All work shall be conducted at the MARI facility located in Australia Melbourne unless otherwise agreed in writing.

4.3 Intellectual property generated in the course of this engagement shall be owned by MARI, subject to a non-exclusive licence retained by the Physicist for academic publication purposes, provided that MARI receives a minimum of ninety (90) days' prior notice before any such publication.

4.4 Payment shall be made by direct bank transfer to the account nominated by the Physicist within thirty (30) calendar days of receipt of a valid tax invoice. Late payments shall attract interest at the rate prescribed under the Victorian Commercial Tenancy Act 1995, Section 13.

4.5 Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination for convenience, MARI shall pay for all services rendered up to the termination date. In the event of termination for material breach, the non-breaching party shall be entitled to recover all direct losses incurred.

4.6 The Physicist shall maintain professional indemnity insurance with a minimum cover of AUD 5,000,000 per claim and public liability insurance of AUD 10,000,000 per occurrence throughout the term of this Purchase Order. Certificates of insurance shall be provided to MARI prior to commencement.

4.7 All disputes arising under this Purchase Order shall be resolved in accordance with the Commercial Arbitration Act 2011 (Vic) and shall be heard in the courts of Victoria, Australia Melbourne.

This Purchase Order is issued under the authority of the MARI Procurement Committee and is valid for acceptance within fourteen (14) calendar days of the date of issue. The Physicist's acceptance of this Purchase Order shall be deemed to constitute full agreement to all terms, conditions, and scope of work set out herein.

This Purchase Order (PO-MEL-2025-04871) is the property of Melbourne Advanced Research Institute. Unauthorised reproduction or distribution is prohibited. All references to Australia Melbourne in this document denote the geographic jurisdiction and operational base of the engagement. The Physicist named herein is engaged as an independent contractor and not as an employee of MARI. This document is governed by the laws of the State of Victoria, Australia.
