This Purchase Order is issued by the Andean Scientific Research Institute S.A.S., headquartered in Colombia Bogotá, to formally procure the professional services of a qualified Physicist for the purpose of conducting advanced research, technical consulting, and academic advisory work. This document serves as the official procurement instrument authorizing the engagement of the named Physicist and establishing all financial, operational, and contractual terms governing the professional relationship. The Physicist engaged under this Purchase Order shall provide the following professional services to the Andean Scientific Research Institute in Colombia Bogotá:
- Conduct advanced theoretical and experimental physics research in the fields of quantum mechanics, condensed matter physics, and particle physics at the institute's laboratory facilities located in Bogotá.
- Provide technical consulting and advisory services to the institute's engineering and applied science departments regarding the application of fundamental physics principles to industrial and technological projects.
- Supervise and mentor a team of six (6) graduate research assistants and junior physicists in their doctoral and master's thesis work conducted in Colombia Bogotá.
- Author and co-author a minimum of three (3) peer-reviewed scientific publications in internationally recognized physics journals during the contract period.
- Deliver a minimum of four (4) technical presentations and seminars to the institute's board of directors, partner universities, and industry stakeholders in Bogotá and surrounding regions.
- Develop and implement a new experimental protocol for the institute's particle detection systems, including full documentation and quality assurance procedures.
- Attend and represent the institute at a minimum of two (2) international physics conferences, with travel expenses covered as specified in this Purchase Order.

All amounts are expressed in Colombian Pesos (COP). The total value of this Purchase Order is equivalent to approximately USD 104,660.50 at the exchange rate prevailing on the date of issuance in Colombia Bogotá.
5.1 Payment shall be made in monthly installments of COP 34,886,833 (inclusive of IVA), due on the last business day of each calendar month, commencing July 31, 2025, and concluding June 30, 2026. Payments shall be processed via electronic bank transfer to the account designated by the Physicist in writing.
5.2 The Physicist shall submit a detailed monthly invoice to the Procurement Department of the Andean Scientific Research Institute, located in Colombia Bogotá, no later than the fifth (5th) business day of the following month. Each invoice must reference this Purchase Order number (CO-BOG-2025-04871) and include the RUT and NIT of both parties as required by the Colombian tax authority (DIAN).
5.3 Late payments shall accrue interest at the rate established by the Superintendencia Financiera de Colombia for overdue commercial obligations. The Purchasing Entity reserves the right to withhold payment for any month in which the Physicist has not fulfilled the minimum deliverables outlined in Section 3 of this Purchase Order.
5.4 All travel expenses for international conferences shall be pre-approved in writing by the Procurement Director prior to booking. Receipts and supporting documentation must be submitted within fifteen (15) calendar days of the conference's conclusion.
6.1 This Purchase Order shall be effective from July 1, 2025, through June 30, 2026, for a total duration of twelve (12) months. The engagement of the Physicist may be renewed by mutual written agreement executed no later than thirty (30) days prior to the expiration date.
6.2 Either party may terminate this Purchase Order with a written notice of sixty (60) days, delivered to the registered address in Colombia Bogotá. In the event of termination, the Physicist shall be compensated for all services rendered up to the effective date of termination, and the Purchasing Entity shall be released from any further payment obligations.
6.3 Immediate termination without notice is permitted in cases of material breach, gross negligence, or violation of Colombian professional ethics codes applicable to the practice of physics and scientific research.
7.1 All research findings, data, experimental results, and intellectual property generated by the Physicist in the course of performing services under this Purchase Order shall be the exclusive property of the Andean Scientific Research Institute, unless otherwise agreed in a separate written addendum. The Physicist retains the right to publish findings in peer-reviewed journals, subject to a thirty (30) day prior review by the institute.
7.2 The Physicist agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, and unpublished research data of the institute. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
8.1 This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Colombia, including the Colombian Commercial Code (Código de Comercio) and applicable regulations of the city of Bogotá, D.C.
8.2 Any dispute arising from or in connection with this Purchase Order shall first be subject to good-faith negotiation between the parties. If unresolved within thirty (30) days, the dispute shall be submitted to the competent commercial courts of Bogotá, Colombia, or to arbitration administered by the Centro de Arbitraje y Conciliación de la Cámara de Comercio de Bogotá, at the election of the Purchasing Entity.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order. The undersigned authorize the procurement of the Physicist's professional services as described herein and confirm that this document constitutes a binding commercial agreement under Colombian law.
