- This Purchase Order is issued by the Nile Delta Research & Development Institute, Egypt Cairo, and constitutes a formal request for the Physicist named above to render the professional services described in the line items. Acceptance of this Purchase Order by the Physicist shall be deemed binding upon both parties.
- All services must be performed in accordance with the standards set forth by the Egyptian Ministry of Higher Education and Scientific Research, as well as the operational guidelines of the Egypt Cairo scientific community. The Physicist shall comply with all local regulations governing laboratory safety, data handling, and intellectual property within Egypt Cairo.
- Payment shall be made in Egyptian Pounds (EGP) via bank transfer to the account designated by the Physicist. Payment terms are Net 30 days from the date of invoice submission, provided that all deliverables have been accepted in writing by the Institute's Project Director.
- The Physicist shall maintain full professional liability insurance with a minimum coverage of EGP 5,000,000 for the duration of the engagement. A certificate of insurance must be submitted prior to the commencement of any on-site work at the Egypt Cairo facility.
- All data, notes, preliminary findings, and final reports generated under this Purchase Order shall be the exclusive property of the Nile Delta Research & Development Institute. The Physicist agrees not to publish, disclose, or share any proprietary information without prior written consent from the Institute's Board of Directors in Egypt Cairo.
- Any modifications to the scope of work, timeline, or deliverables outlined in this Purchase Order must be documented in a written change order signed by both the Institute's Procurement Officer and the Physicist. No verbal agreements shall be considered valid.
- In the event of a dispute arising from this Purchase Order, both parties agree to first attempt resolution through mediation in Egypt Cairo. Should mediation fail, the matter shall be referred to the competent commercial courts of Cairo, Egypt, in accordance with Egyptian law.
- This Purchase Order is valid for a period of thirty (30) calendar days from the date of issue. If the Physicist does not confirm acceptance in writing within this period, the Purchase Order shall automatically lapse and become null and void.
- The Physicist warrants that all services rendered will be performed with the degree of skill, care, and diligence expected of a qualified senior Physicist operating in Egypt Cairo, and that no conflicts of interest exist that would impair the quality or objectivity of the work.
All deliverables under this Purchase Order shall be submitted to the Project Director's office at the Nile Delta Research & Development Institute, 12 Tahrir Square, Egypt Cairo, no later than the deadlines specified in the line items. Acceptance will be confirmed via a signed Delivery Acceptance Form. The Physicist shall be notified of any deficiencies within five (5) business days of submission, and a cure period of ten (10) business days shall be granted before any financial penalty is applied.
