This Purchase Order is issued by Institut de Recherche en Physique Appliquée (IRPA) to formally engage the services of a qualified Physicist for the duration of the contract period specified herein. The Physicist shall provide expert consultancy, research oversight, and technical advisory services to be performed exclusively within the jurisdiction of France Paris, in compliance with all applicable French labor regulations, professional standards, and scientific ethics codes established by the French National Centre for Scientific Research (CNRS) and the French Ministry of Higher Education and Research.
The Physicist engaged under this Purchase Order shall possess a minimum of a Doctorate in Physics (Doctorat en Physique) from a recognized French or European university, with a minimum of ten (10) years of post-doctoral experience in applied or theoretical physics. All deliverables and on-site work shall be conducted at the IRPA laboratory facilities located in France Paris, or at such other locations within France Paris as mutually agreed upon in writing by both parties.

5.1 – This Purchase Order constitutes a binding agreement between IRPA and the named Physicist upon signature by both parties. All services described herein shall be rendered in accordance with the professional standards expected of a Physicist operating within France Paris and the broader French scientific community.
5.2 – The Physicist shall comply with all data protection regulations, including the French implementation of the GDPR (Loi Informatique et Libertés), particularly regarding any sensitive research data accessed during the engagement in France Paris.
5.3 – Payment shall be made via bank transfer to the IBAN specified in Section 2 within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the rate prescribed by French commercial law (Code de commerce, Article L441-10).
5.4 – The Physicist warrants that all intellectual property generated during the course of this engagement, while physically present at IRPA facilities in France Paris, shall be jointly owned by IRPA and the Physicist, subject to a separate Intellectual Property Agreement to be executed prior to commencement of work.
5.5 – Either party may terminate this Purchase Order with a written notice of sixty (60) days. In the event of termination, the Physicist shall be compensated for all services rendered up to the effective date of termination, calculated on a pro-rata monthly basis.
5.6 – This Purchase Order shall be governed by and construed in accordance with the laws of the French Republic. Any disputes arising from this Purchase Order shall be submitted to the exclusive jurisdiction of the Tribunal de Commerce de Paris, France Paris.
5.7 – The Physicist shall maintain professional liability insurance (assurance responsabilité civile professionnelle) with a minimum coverage of €1,000,000 for the entire duration of this Purchase Order, valid throughout France Paris and the Île-de-France region.
By signing below, both parties acknowledge that this Purchase Order for the engagement of a Physicist in France Paris has been reviewed, understood, and accepted in its entirety. The Physicist confirms availability to commence services on 1 July 2025 at the IRPA laboratory in France Paris.
