This Purchase Order is issued by the Ministry of Science and Technology, Republic of Iraq, to formally engage the services of a qualified Physicist for the duration specified herein. The Physicist shall provide expert scientific consultation, laboratory oversight, and research supervision for the National Nuclear Research Facility located in Iraq Baghdad. The scope of work encompasses the following deliverables:

  • Design and validation of experimental protocols for the new particle detection laboratory in Iraq Baghdad.
  • Supervision of a team of twelve (12) junior physicists and laboratory technicians assigned to the Baghdad research campus.
  • Preparation of quarterly technical reports on radiation safety compliance and experimental outcomes.
  • Conduct of two (2) on-site training workshops per quarter for Iraqi graduate students in advanced quantum mechanics and nuclear physics.
  • Peer review and publication of a minimum of three (3) research papers in internationally recognized physics journals during the contract period.
  • Advisory support to the Iraqi government on the regulatory framework governing nuclear and particle physics research conducted within Iraq Baghdad.

All prices are quoted in United States Dollars (USD). Applicable Iraqi Value Added Tax (VAT) at 15% shall be added to the total if required by the Iraqi tax authority. The total inclusive of VAT amounts to USD 201,825.00.

Payment for this Purchase Order shall be made in accordance with the following schedule:

  • Advance Payment: 20% of the total contract value (USD 35,100.00) shall be disbursed within fifteen (15) business days of the signed acceptance of this Purchase Order.
  • Progress Payments: 60% of the total contract value (USD 105,300.00) shall be paid in four (4) equal quarterly installments of USD 26,325.00, due within thirty (30) days following the submission and approval of each quarterly technical report by the Physicist.
  • Final Payment: The remaining 20% (USD 35,100.00) shall be paid within thirty (30) days of the successful completion of all deliverables and the submission of the final comprehensive report.

All payments shall be made via bank transfer to the account designated by the Physicist. The buyer reserves the right to withhold payment for any deliverable that does not meet the agreed-upon quality standards as defined in the technical annex of this Purchase Order.

  1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Iraq, specifically the Iraqi Public Procurement Law No. 22 of 2013 and applicable regulations of the Ministry of Science and Technology in Iraq Baghdad.
  2. Intellectual Property: All research data, experimental results, and publications generated under this Purchase Order shall be jointly owned by the Ministry of Science and Technology and the Physicist. The Physicist retains the right to publish findings in peer-reviewed journals, subject to a thirty (30) day prior review by the Ministry.
  3. Confidentiality: The Physicist agrees to maintain strict confidentiality regarding all classified research materials, facility security protocols, and government-sensitive data encountered during the course of work in Iraq Baghdad. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
  4. Insurance and Liability: The Physicist shall maintain professional liability insurance with a minimum coverage of USD 500,000 for the duration of the engagement. The Ministry shall not be held liable for any personal injury or property damage sustained by the Physicist while performing duties in Iraq Baghdad, except in cases of gross negligence by the Ministry.
  5. Termination: Either party may terminate this Purchase Order with a written notice of thirty (30) days. In the event of early termination, the Physicist shall be compensated for all services rendered up to the date of termination, plus a reasonable wind-down period of two (2) weeks.
  6. Dispute Resolution: Any disputes arising from this Purchase Order shall first be attempted to be resolved through amicable negotiation. If unresolved within sixty (60) days, the matter shall be referred to the Iraqi Arbitration Center in Baghdad for binding arbitration.
  7. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to circumstances beyond reasonable control, including but not limited to natural disasters, civil unrest, or government-imposed restrictions in Iraq Baghdad.

By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order. This document constitutes a binding agreement for the engagement of the Physicist's professional services in Iraq Baghdad for the period of twelve (12) months commencing 1 July 2025 and concluding 30 June 2026.
