This Purchase Order is issued to procure the professional services of a qualified Physicist to support the Kyoto Advanced Research Institute in its ongoing quantum optics and condensed matter research programs. The Physicist shall be engaged on a full-time basis for a period of twelve (12) months, commencing on 01 September 2025, with the primary work location situated in Japan Kyoto. The Physicist is expected to hold a Doctorate in Physics or an equivalent advanced degree and must demonstrate a minimum of ten (10) years of post-doctoral research experience in quantum field theory, particle physics, or applied condensed matter physics.

The Physicist shall be responsible for designing and executing experimental protocols, supervising a team of four (4) graduate research assistants, publishing peer-reviewed findings in internationally recognized journals, and representing the Institute at the annual Japan Kyoto International Physics Symposium. All work shall be conducted in compliance with the ethical and safety standards established by the Japan Kyoto Research Ethics Board and the National Institute of Advanced Industrial Science and Technology (AIST) guidelines.

6.1 This Purchase Order constitutes a binding agreement between Kyoto Advanced Research Institute and Quantum Dynamics Consulting Group Co., Ltd. upon countersignature by both parties. All services described herein shall be rendered in Japan Kyoto unless otherwise agreed in writing.

6.2 The Physicist engaged under this Purchase Order shall comply with all applicable Japanese labor laws, immigration regulations, and the specific research protocols of the Japan Kyoto facility. A valid work visa and residence permit for Japan Kyoto shall be secured prior to the commencement date.

6.3 Payment shall be processed via bank transfer to the account designated by the Supplier. Invoices must reference Purchase Order number JPK-2025-04782 and shall be submitted on the last business day of each calendar month.

6.4 The Physicist shall maintain full intellectual property ownership of all research outputs in accordance with the Japan Kyoto Research IP Agreement (Form KARI-IP-2024). Any patents, publications, or proprietary data generated during the engagement shall be jointly owned by the Institute and the Supplier.

6.5 Either party may terminate this Purchase Order with a written notice of sixty (60) days. In the event of early termination, the Physicist shall be compensated for all services rendered up to the effective date of termination, plus a pro-rated portion of the relocation allowance.

6.6 All disputes arising from this Purchase Order shall be resolved through arbitration in Japan Kyoto under the rules of the Japan Commercial Arbitration Association (JCAA). The governing law shall be the laws of Japan.

6.7 The Supplier warrants that the Physicist named in this Purchase Order possesses all qualifications, certifications, and professional standing necessary to perform the services described. Any misrepresentation of credentials shall constitute grounds for immediate termination without penalty to the Buyer.
