This Purchase Order is issued by Keio Advanced Research Institute (hereinafter referred to as the "Buyer") to engage the professional services of Dr. Haruki Tanaka, a qualified Physicist (hereinafter referred to as the "Supplier" or "Physicist"), for the execution of advanced quantum optics research and related technical consulting activities to be conducted within the metropolitan area of Japan Tokyo. This Purchase Order constitutes a binding agreement upon countersignature by both parties and shall be governed by the commercial laws of the State of Japan.

The Buyer hereby procures the following professional services from the Physicist, to be performed at the designated research facility located in Japan Tokyo. The Physicist shall provide full-time dedicated engagement for the duration specified in this Purchase Order. The scope of work includes, but is not limited to, the following deliverables:

All amounts stated in this Purchase Order are in Japanese Yen (JPY) and are inclusive of applicable consumption tax (10%) as mandated by the National Tax Agency of Japan. No additional charges shall be incurred without prior written amendment to this Purchase Order.

3.1 Performance Location: All services under this Purchase Order shall be rendered at the Buyer's primary research facility in Japan Tokyo, or at such other locations within Japan Tokyo as mutually agreed in writing by both parties. The Physicist acknowledges that the operational environment in Japan Tokyo may require compliance with local municipal regulations regarding laboratory safety, data handling, and intellectual property protection.

3.2 Intellectual Property: All research outputs, data sets, theoretical models, and publications generated by the Physicist during the term of this Purchase Order shall be the sole property of the Buyer. The Physicist grants the Buyer an irrevocable, perpetual, royalty-free license to use, reproduce, and distribute all deliverables. Any pre-existing intellectual property of the Physicist shall remain the property of the Physicist, and a schedule of such pre-existing IP is attached as Appendix A to this Purchase Order.

3.3 Confidentiality: The Physicist agrees to maintain strict confidentiality regarding all proprietary information, experimental data, and unpublished findings encountered during the performance of this Purchase Order in Japan Tokyo. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.

3.4 Payment Terms: Payment shall be made in three (3) equal installments: (i) 40% upon execution of this Purchase Order; (ii) 35% upon completion of the six-month midpoint review; and (iii) 25% upon final acceptance of all deliverables. Payments shall be remitted via bank transfer to the account designated by the Physicist. The Buyer shall process payments within fifteen (15) business days of receipt of a valid invoice referencing this Purchase Order number.

3.5 Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination for convenience by the Buyer, the Physicist shall be compensated for all services rendered up to the effective date of termination. In the event of material breach by the Physicist, the Buyer may terminate this Purchase Order immediately upon written notice, and the Physicist shall refund any prepayments attributable to unperformed services.

3.6 Governing Law and Dispute Resolution: This Purchase Order shall be governed by and construed in accordance with the laws of Japan. Any disputes arising from or in connection with this Purchase Order shall be resolved through arbitration in Japan Tokyo under the rules of the Japan Commercial Arbitration Association (JCAA). The language of arbitration shall be English.

3.7 Compliance: The Physicist warrants that all services rendered under this Purchase Order shall comply with applicable Japanese national and local laws, including but not limited to the Act on the Protection of Personal Information, the Labor Standards Act of Japan, and all relevant safety regulations applicable to physics laboratories in Japan Tokyo.

By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order. This Purchase Order is effective as of the date of the last signature below.
