2. Scope of Services – Physicist Engagement

This Purchase Order is issued by Quantum Dynamics Research Institute Sdn. Bhd. (hereinafter referred to as "the Purchaser") to engage the services of a qualified Physicist for the purpose of providing expert scientific consultancy, research oversight, and technical advisory support for the Plasma Confinement and Fusion Energy Feasibility Study. The Physicist shall be based at and conduct all on-site activities within the Malaysia Kuala Lumpur metropolitan area, specifically at the Purchaser's research laboratory located in Petaling Jaya, Selangor, with regular reporting obligations to the Kuala Lumpur headquarters office.

The engagement of this Physicist is critical to the Purchaser's strategic initiative to establish a domestic fusion research capability in Malaysia Kuala Lumpur, aligning with the national energy transition roadmap and the Ministry of Science, Technology and Innovation (MOSTI) directives for advanced physics research in the region.

4. Terms and Conditions
  1. This Purchase Order constitutes a binding agreement between the Purchaser and the Vendor upon countersignature. All services described herein shall be performed by the named Physicist or, with prior written consent, by a substitute of equivalent or superior qualifications registered with the Malaysian Institute of Physics.
  2. The Physicist shall comply with all applicable laws and regulations of Malaysia, including but not limited to the Employment Act 1955, the Personal Data Protection Act 2010 (PDPA), and the Nuclear Energy (Safety and Security) Act 2018, as the work involves plasma and radiation-related research conducted in the Malaysia Kuala Lumpur area.
  3. Payment shall be made in monthly instalments within thirty (30) calendar days of receipt of a valid tax invoice. All payments shall be processed in Malaysian Ringgit (MYR) via bank transfer to the account specified in Section 1 of this Purchase Order.
  4. The Physicist shall submit a detailed progress report to the Purchaser's Chief Scientific Officer no later than the last working day of each month. Reports must be submitted in English and shall include experimental data, theoretical derivations, and recommendations for the next reporting period.
  5. All intellectual property, research findings, data sets, and publications arising from this engagement shall be the sole property of Quantum Dynamics Research Institute Sdn. Bhd. The Physicist shall execute a non-disclosure agreement (NDA) and intellectual property assignment form prior to commencing work at the Malaysia Kuala Lumpur facility.
  6. The Vendor shall maintain professional indemnity insurance with a minimum coverage of MYR 2,000,000 for the duration of this Purchase Order. A certificate of insurance shall be provided to the Purchaser before the commencement date.
  7. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Physicist shall be compensated for all services rendered up to the effective date of termination, less any outstanding deliverables.
  8. All disputes arising from this Purchase Order shall be resolved through mediation in Malaysia Kuala Lumpur in accordance with the rules of the Asian International Arbitration Centre (AIAC). The governing law shall be the laws of Malaysia.
  9. The Physicist shall adhere to the Purchaser's site safety protocols, which include mandatory radiation safety training, laboratory access badges, and compliance with the Malaysian Nuclear Agency (Nuclear Malaysia) guidelines for all activities conducted at the Malaysia Kuala Lumpur research site.
  10. This Purchase Order is valid for a period of twelve (12) months from the date of issue. Any amendments or extensions must be documented in a written addendum signed by both parties.
5. Delivery and Commencement

The Physicist shall commence on-site duties at the Quantum Dynamics Research Institute laboratory in Petaling Jaya, within the Malaysia Kuala Lumpur metropolitan region, no later than 01 August 2025. The initial orientation and safety induction shall be conducted on the first day of engagement. The Physicist is expected to be available on-site for a minimum of forty (40) hours per week, with remote advisory hours permitted for tasks such as literature review and manuscript preparation.
