1. Scope and Deliverables: The Physicist engaged under this Purchase Order shall perform all duties in accordance with the research objectives outlined by the Yangon Institute of Advanced Scientific Research. All experimental data, publications, and intellectual property generated during the term of this engagement shall be jointly owned by the Buyer and the Seller, with primary publication rights residing with the Physicist subject to institutional review.
2. Payment Terms: Payment shall be made in monthly installments of MMK 6,683,333 (one-twelfth of the total contract value) within fifteen (15) business days of the end of each calendar month. Payment shall be processed via bank transfer to the Seller's designated account at the Myanmar Economic Bank, Yangon branch. All payments are subject to applicable Myanmar Revenue Department tax withholdings as mandated by the Income Tax Law of 2011.
3. Duration and Termination: This Purchase Order is valid for a period of twelve (12) months commencing on 1 July 2025 and concluding on 30 June 2026. Either party may terminate this agreement with thirty (30) days written notice. In the event of early termination, the Buyer shall compensate the Seller for services rendered up to the date of termination, plus a severance payment equivalent to one month's fee.
4. Compliance and Regulation: The Seller warrants that the Physicist engaged under this Purchase Order holds a valid work permit issued by the Myanmar Ministry of Labour, Immigration and Population, and that all professional qualifications are recognized by the Myanmar National Accreditation Council. The Physicist shall comply with all safety protocols established for nuclear and particle physics research facilities in Myanmar Yangon.
5. Confidentiality: All research data, experimental methodologies, and unpublished findings shared during the course of this engagement are classified as confidential. The Physicist shall not disclose proprietary information to third parties without written consent from the Buyer. This obligation survives the termination of this Purchase Order for a period of five (5) years.
6. Governing Law and Dispute Resolution: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of the Union of Myanmar. Any disputes arising from this agreement shall first be subject to mediation in Myanmar Yangon. Should mediation fail, disputes shall be referred to the Myanmar Arbitration Centre for binding arbitration.
7. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure results from natural disasters, government-imposed restrictions, or other events beyond reasonable control, as defined under Myanmar commercial law.
Acceptance and AuthorizationBy signing below, both parties acknowledge that this Purchase Order constitutes a binding agreement for the procurement of the Physicist's professional services as described herein. This document is executed in the city of Myanmar Yangon and is valid throughout the Union of Myanmar.
