This Purchase Order is issued by the Kathmandu Institute of Advanced Sciences (KIAS) to Himalayan Scientific Consultancy Pvt. The Physicist engaged under this Purchase Order must satisfy the following minimum qualifications and professional criteria:
- A Doctor of Philosophy (PhD) degree in Physics or a closely related field (Theoretical Physics, Nuclear Physics, Condensed Matter Physics, or Astrophysics) from a recognized university.
- A minimum of five (5) years of post-doctoral research experience in a laboratory or academic setting.
- Published research in at least two internationally recognized peer-reviewed physics journals.
- Proficiency in English and Nepali for effective communication with students and administrative staff in Nepal Kathmandu.
- Valid work permit or employment authorization issued by the Department of Immigration, Government of Nepal, for the duration of the engagement.
- Professional membership in a recognized physics society (e.g., Nepal Physical Society, American Physical Society, or equivalent).
- Validity: This Purchase Order is valid for a period of ninety (90) days from the date of issue. The Supplier must confirm acceptance in writing within fourteen (14) days of receipt of this document.
- Commencement: The Physicist shall report for duty at the KIAS campus in Nepal Kathmandu no later than 1 August 2025. Failure to commence within seven (7) days of the stipulated date without written justification shall constitute a material breach of this Purchase Order.
- Payment Terms: Payment shall be made in quarterly installments via bank transfer to the account designated by the Supplier. The first installment of NPR 1,357,412.50 (25% of the total) shall be due within thirty (30) days of the Physicist's confirmed commencement. Subsequent quarterly payments of the same amount shall be due on 1 November 2025, 1 February 2026, and 1 May 2026 respectively.
- Performance Bond: The Supplier shall provide a performance bond equivalent to 10% of the total Purchase Order value (NPR 542,965) in the form of a bank guarantee from a commercial bank operating in Nepal Kathmandu, valid for the entire contract duration plus thirty (30) days.
- Intellectual Property: All research findings, data, publications, and intellectual property generated by the Physicist during the term of this engagement shall be jointly owned by KIAS and the Physicist, with KIAS retaining primary rights for academic and institutional purposes.
- Termination: Either party may terminate this Purchase Order with sixty (60) days written notice. In the event of termination for cause (including but not limited to gross negligence, fraud, or failure to meet deliverable milestones), the terminating party shall provide fourteen (14) days notice. Upon termination, the Supplier shall be compensated only for services rendered up to the termination date.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Nepal, including the Contract Act, 2023 (2056 B.S.) and the Income Tax Act, 2058 (2002). Any disputes arising from this Purchase Order shall be resolved through arbitration in Nepal Kathmandu in accordance with the Arbitration Act, 2055 (1998).
- Compliance: The Supplier and the assigned Physicist shall comply with all applicable laws, regulations, and institutional policies of KIAS and the Government of Nepal, including labor laws, tax obligations, and research ethics guidelines.
- Insurance: The Supplier shall maintain comprehensive professional liability insurance and personal accident insurance for the Physicist throughout the engagement period, with a minimum coverage of NPR 10,000,000.
- Confidentiality: The Physicist shall maintain strict confidentiality regarding all proprietary research data, unpublished findings, and institutional information of KIAS. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
The Supplier shall submit a detailed monthly progress report to the Procurement Director of KIAS by the 5th of each month. The report shall include the Physicist's research activities, laboratory supervision logs, lecture delivery records, and any challenges encountered. A comprehensive final report shall be submitted within thirty (30) days of the completion of the 12-month engagement period. All reports shall be submitted in both English and Nepali to ensure accessibility for all stakeholders in Nepal Kathmandu.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order. This document constitutes a binding agreement for the professional engagement of the Physicist as described herein.
