This Purchase Order is issued by Quantum Dynamics Research Institute B.V. (hereinafter referred to as "the Buyer") to engage the services of Dr. Hendrik van der Berg, a qualified and accredited Physicist (hereinafter referred to as "the Vendor"), for the provision of specialised scientific consulting, research collaboration, and laboratory oversight services. This Purchase Order governs all terms, conditions, deliverables, and payment arrangements for the engagement of the Physicist within the operational boundaries of Netherlands Amsterdam. The Buyer acknowledges that the expertise of the Physicist is critical to the advancement of the Buyer's ongoing quantum computing and particle interaction research programmes conducted at its primary facility in Netherlands Amsterdam.

All services described in this Purchase Order shall be performed at or in the immediate vicinity of the Buyer's principal research facility located at Science Park 142, 1098 XG Amsterdam, Netherlands Amsterdam. The Physicist is expected to be physically present at the Netherlands Amsterdam site for a minimum of 30 hours per week during the active contract period. Remote consultation sessions may be conducted via secure video conferencing, provided that no more than 20% of total contracted hours are performed off-site. The Physicist acknowledges that all laboratory equipment, data, and intellectual property generated during the engagement in Netherlands Amsterdam remain the sole property of the Buyer.

Payment for services rendered under this Purchase Order shall be made in accordance with the following schedule: (a) 30% advance payment upon acceptance of this Purchase Order by the Physicist; (b) 40% upon completion of the quantum entanglement modelling and magnet calibration milestones; (c) 30% upon final delivery of all research papers and completion of the training programme. All payments shall be made via bank transfer to the IBAN specified above within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the statutory rate applicable in the Netherlands. The Buyer reserves the right to withhold payment for any deliverable that does not meet the quality standards outlined in this Purchase Order.

5.1 This Purchase Order is governed by the laws of the Netherlands and shall be interpreted in accordance with Dutch commercial law. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the District Court of Amsterdam, Netherlands Amsterdam.

5.2 The Physicist warrants that all work performed under this Purchase Order shall be original, free from intellectual property infringement, and conducted in full compliance with the ethical standards of the Royal Netherlands Academy of Arts and Sciences (KNAW).

5.3 The Physicist shall maintain professional liability insurance with a minimum coverage of €2,000,000 for the duration of this Purchase Order and shall provide a certificate of insurance upon request.

5.4 Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services satisfactorily rendered up to the date of termination.

5.5 The Physicist shall comply with all applicable data protection regulations, including the EU General Data Protection Regulation (GDPR) and the Dutch UAVG, with respect to any personal data processed during the engagement in Netherlands Amsterdam.

5.6 This Purchase Order constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, or agreements relating to the engagement of the Physicist.

By signing below, both parties acknowledge and agree to all terms and conditions set forth in this Purchase Order for the engagement of the Physicist in Netherlands Amsterdam.
