2. Description of Procured ServicesThis Purchase Order is issued for the procurement of specialized Physicist professional services to be rendered at the designated research facility located in Moscow, Russia. The contracted Physicist shall provide expert consultation, experimental design oversight, data analysis, and theoretical modeling support for the ongoing "Project Helios-7" initiative, which focuses on high-energy particle interaction studies and quantum field theory applications.
The Physicist engaged under this Purchase Order must hold a minimum of a Candidate of Physical Sciences (Kand. Fiz.-Mat. Nauk) degree or equivalent doctoral qualification, with a minimum of ten (10) years of documented professional experience in experimental or theoretical physics. The Physicist shall be physically present at the Moscow research campus for a minimum of five (5) working days per week throughout the contract duration.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of the Russian Federation and applicable federal legislation of the Russian Federation. All disputes arising from this Purchase Order shall be resolved in the Arbitration Court of the City of Moscow, Russia.
- Place of Performance: All services described in this Purchase Order shall be performed exclusively at the research facility premises located in Moscow, Russia, unless otherwise agreed in writing by both parties. The Physicist shall comply with all institutional safety protocols, radiation safety regulations, and access control procedures established by the Moscow facility.
- Payment Terms: Payment shall be made in Russian Rubles (RUB) via bank transfer to the Seller's designated account. Invoices shall be submitted monthly by the 5th business day. Payment shall be processed within fifteen (15) calendar days of invoice receipt. Late payments shall accrue interest at the rate of 0.1% per day as stipulated under Article 317.1 of the Civil Code of the Russian Federation.
- Intellectual Property: All research findings, data sets, theoretical models, and documentation produced by the Physicist during the term of this Purchase Order shall be the exclusive property of the Purchasing Entity. The Physicist shall execute all necessary assignment agreements prior to commencing work at the Moscow facility.
- Confidentiality: The Physicist shall maintain strict confidentiality regarding all proprietary information, experimental parameters, and unpublished results encountered during the course of work in Moscow, Russia. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Compliance with Russian Regulations: The Physicist shall comply with all applicable Russian federal laws, including but not limited to the Federal Law on Scientific and Technological Activities, the Labor Code of the Russian Federation, and all export control regulations pertaining to dual-use physics research materials.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Termination shall not affect accrued payment obligations for services already rendered by the Physicist.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or public health emergencies affecting operations in Moscow, Russia.
This Purchase Order is hereby issued and authorized for execution. The Seller acknowledges receipt of this Purchase Order and agrees to furnish the specified Physicist services in full compliance with the terms, conditions, and scope of work outlined herein. The contracted Physicist shall report to the Moscow facility no later than 09:00 Moscow Standard Time (MSK) on the first business day following the effective date of this Purchase Order.
