This Purchase Order is issued by Al-Najah Scientific Research & Consulting Co. Ltd. (hereinafter referred to as the "Purchasing Entity") to procure the professional services of a qualified Physicist for a period of twelve (12) months. The Physicist shall be engaged to perform advanced research, technical consulting, and analytical work in support of the Purchasing Entity's ongoing nuclear energy feasibility study and quantum computing infrastructure development project, to be carried out exclusively within the city of Riyadh, Saudi Arabia. The Physicist shall report directly to the Chief Technology Officer and shall conduct all work from the Purchasing Entity's headquarters located on King Fahd Road, Al Olaya District, Riyadh, Saudi Arabia.

3.1 This Purchase Order is governed by the laws of the Kingdom of Saudi Arabia and the commercial regulations applicable in Riyadh, Saudi Arabia. Any disputes arising from this Purchase Order shall be resolved through the competent courts in Riyadh, Saudi Arabia.

3.2 The Physicist shall maintain a valid professional license issued by the Saudi Commission for Health Specialties (SCFHS) or the relevant Saudi regulatory body throughout the duration of this engagement. The Physicist shall bear full responsibility for compliance with all Saudi Arabian labor laws, visa regulations, and professional conduct standards applicable in Riyadh.

3.3 All deliverables, research findings, intellectual property, and technical documentation produced by the Physicist under this Purchase Order shall be the exclusive property of Al-Najah Scientific Research & Consulting Co. Ltd. The Physicist shall not disclose, publish, or share any proprietary information with third parties without prior written consent from the Purchasing Entity.

3.4 The Physicist shall commence services no later than 1 July 2025 at the Purchasing Entity's office in Riyadh, Saudi Arabia. The engagement period shall run from 1 July 2025 through 30 June 2026, unless terminated earlier in accordance with Clause 3.7.

3.5 Payment shall be made in monthly installments via bank transfer to the Physicist's designated account in a Saudi Arabian bank. Invoices shall be submitted by the 5th of each month for services rendered in the preceding month. Payment shall be processed within thirty (30) calendar days of receipt of a valid invoice.

3.6 The Physicist shall adhere to all health, safety, and environmental protocols established by the Purchasing Entity and in compliance with Saudi Arabian occupational safety regulations. The Physicist shall attend all mandatory safety briefings conducted at the Riyadh facility.

3.7 Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Physicist shall be compensated for all services rendered up to the effective date of termination, and all work-in-progress deliverables shall be handed over to the Purchasing Entity.

3.8 The Physicist shall comply with all data protection and information security policies of the Purchasing Entity, including the Saudi Data and AI Authority (SDAIA) regulations applicable in Riyadh, Saudi Arabia.

All services under this Purchase Order shall be performed at the following location: Al-Najah Scientific Research & Consulting Co. Ltd., 4th Floor, King Fahd Road, Al Olaya District, Riyadh 12212, Saudi Arabia. The Physicist shall be present at this location a minimum of five (5) days per week during standard business hours (Sunday through Thursday, 8:00 AM to 5:00 PM, Saudi Arabia time), unless otherwise agreed in writing for remote research activities.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order. This Purchase Order constitutes a binding agreement between the Purchasing Entity and the Physicist for the provision of professional scientific services in Riyadh, Saudi Arabia.
