This Purchase Order is issued by the Quantum Dynamics Research Institute (QDRI) to engage the services of a qualified Physicist for the purpose of providing advanced theoretical and applied physics consultancy in support of the Institute's ongoing research programme. The Physicist shall deliver all services at the QDRI primary laboratory facility located in Cape Town, South Africa, and shall comply with all applicable South African labour, health and safety, and research ethics regulations. The engagement of this Physicist is critical to the completion of the Institute's Phase III particle interaction modelling project, which requires specialist expertise in quantum field theory, computational physics, and experimental data analysis.

Governing Law: This Purchase Order and all associated services shall be governed by and interpreted in accordance with the laws of the Republic of South Africa, with jurisdiction vested in the High Court of South Africa, Cape Town Division.
Service Delivery: The Physicist shall commence services on 1 July 2025 and shall complete all deliverables no later than 31 October 2025. All on-site work shall be conducted at the QDRI facility in Cape Town, South Africa, between 08:00 and 17:00 on business days.
Payment Schedule: Payment shall be made in three equal instalments: 33% upon commencement, 33% upon delivery of the technical report (Item 02), and 34% upon final acceptance of all deliverables. All payments shall be made via electronic funds transfer to the Physicist's registered South African bank account within 30 days of invoice receipt.
Intellectual Property: All research outputs, data, models, and documentation produced by the Physicist under this Purchase Order shall remain the exclusive property of QDRI. The Physicist shall sign a non-disclosure agreement (NDA) prior to commencing work.
Compliance: The Physicist warrants that they hold all necessary professional registrations, insurance (including professional indemnity of no less than R5,000,000), and that they are in full compliance with South African tax obligations, the Basic Conditions of Employment Act, and the Occupational Health and Safety Act.
Termination: Either party may terminate this Purchase Order with 14 days' written notice. In the event of termination, the Physicist shall be compensated for all services rendered up to the date of termination, less any applicable deductions.
Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to mediation in Cape Town, South Africa, in accordance with the Arbitration Act 42 of 1967. If mediation fails, the matter shall be referred to the High Court in Cape Town.
Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or public health emergencies affecting the Cape Town region.

This Purchase Order is issued and authorised by the undersigned on behalf of the Quantum Dynamics Research Institute. The Physicist's acceptance of this Purchase Order constitutes full agreement to all terms, conditions, and deliverables outlined herein. By signing below, the Physicist confirms their availability, professional capacity, and commitment to delivering all services in Cape Town, South Africa, in accordance with the timelines and specifications set forth in this document.
