This Purchase Order governs all terms, conditions, deliverables, and financial obligations associated with the engagement of the Physicist for the period specified herein. The engagement is conducted in full compliance with the applicable commercial and labor regulations of Spain Barcelona and the broader legal framework of the Kingdom of Spain.

The Physicist, Dr. Marchñ Ferrer, shall provide the following professional services to the Buyer as detailed in the line items below. All work shall be performed primarily at the Buyer’s laboratory facilities located in Spain Barcelona, with the option of remote consultation as mutually agreed. The Physicist is expected to bring expertise in quantum optics, condensed matter physics, and advanced spectroscopy, and shall deliver all outputs in accordance with the scientific standards recognized by the Royal Spanish Society of Physics (Real Sociedad Española de Física).

3.1 Governing Law. This Purchase Order and the services rendered under it shall be governed by and construed in accordance with the commercial laws of Spain, with specific reference to the regional regulations applicable in Spain Barcelona. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Barcelona, Spain.

3.2 Intellectual Property. All reports, models, simulation code, calibration certificates, and written deliverables produced by the Physicist specifically for the Buyer under this Purchase Order shall become the exclusive property of the Buyer upon full payment. The Physicist retains the right to reference general methodologies in academic publications, provided no confidential data of the Buyer is disclosed.

3.3 Confidentiality. The Physicist agrees to maintain strict confidentiality regarding all proprietary data, experimental results, and internal processes of the Buyer encountered during the engagement in Spain Barcelona. This obligation survives the termination of this Purchase Order for a period of five (5) years.

3.4 Payment. The Buyer shall remit payment within thirty (30) calendar days of receipt of a valid invoice from the Physicist. Payment shall be made via bank transfer to the account designated by the Physicist. Late payments shall accrue interest at the rate established by the Spanish Law on Late Payment in Commercial Transactions (Ley 3/2004).

3.5 Termination. Either party may terminate this Purchase Order with fourteen (14) days’ written notice. In the event of early termination, the Buyer shall pay for all services rendered up to the date of termination, as documented by the Physicist.

3.6 Health, Safety, and Compliance. The Physicist shall comply with all laboratory safety protocols in force at the Buyer’s facility in Spain Barcelona, including but not limited to laser safety regulations, chemical handling procedures, and the occupational health directives issued by the Generalitat de Catalunya.

3.7 Force Majeure. Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting the Spain Barcelona metropolitan area.

This Purchase Order constitutes a binding offer to purchase the Physicist services described herein. Acceptance by the Supplier is indicated by signature below. Upon mutual execution, this document becomes the operative contract for the engagement.

This Purchase Order (PO-2025-BCN-0047) was prepared and issued in Spain Barcelona on 14 June 2025. It is valid for acceptance until 14 July 2025. All communications regarding this Purchase Order should be directed to the Buyer’s procurement office at the address listed above.
