1. Scope of Engagement — Physicist ServicesThis Purchase Order is issued by the Manchester Advanced Research Institute (hereinafter referred to as the "Buyer") to engage the services of a qualified Physicist (hereinafter referred to as the "Supplier") for the duration of the contract period specified herein. The Physicist shall provide expert consultancy, research oversight, and technical advisory services in the fields of quantum mechanics, particle physics, and applied theoretical physics. All work associated with this Purchase Order shall be conducted primarily at the Buyer's facilities located in United Kingdom Manchester, with the option for remote collaboration as mutually agreed upon in writing.

- Governing Law: This Purchase Order and all associated services shall be governed by and construed in accordance with the laws of England and Wales, United Kingdom. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts in Manchester, United Kingdom.
- Payment Terms: Payment shall be made in quarterly instalments of £73,350.00 (inclusive of VAT) within thirty (30) calendar days of receipt of a valid invoice from the Physicist. The first instalment shall be due upon commencement of services on 01 September 2025.
- Intellectual Property: All intellectual property, research findings, data sets, and publications generated as a direct result of the work performed under this Purchase Order shall be jointly owned by the Buyer and the Physicist, unless otherwise agreed in a separate written addendum. The Physicist retains the right to present findings at academic conferences.
- Confidentiality: The Physicist agrees to maintain strict confidentiality regarding all proprietary data, unpublished research, and internal communications of the Manchester Advanced Research Institute. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Health and Safety: The Physicist shall comply with all health and safety regulations applicable to laboratory environments in United Kingdom Manchester, including but not limited to the Health and Safety at Work etc. Act 1974 and all relevant HSE guidance for particle physics facilities.
- Termination: Either party may terminate this Purchase Order by providing sixty (60) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the effective date of termination.
- Insurance: The Physicist shall maintain professional indemnity insurance with a minimum cover of £2,000,000.00 and public liability insurance of £5,000,000.00 for the duration of this Purchase Order.
- Compliance: The Physicist warrants that all services provided under this Purchase Order shall comply with the UK Research Integrity Office (UKRI) guidelines and the principles of the Concordat on Research Integrity.
By signing below, both parties acknowledge that this Purchase Order constitutes a binding agreement for the provision of Physicist services as described herein. The Buyer confirms that sufficient budgetary allocation has been made to fulfil the obligations set out in this Purchase Order. The Supplier confirms acceptance of all terms, conditions, and scope of work detailed in this document.
