5.1 Scope of Work: The Physicist shall perform all duties described in Section 4 with professional diligence, adhering to the ethical guidelines of the American Physical Society. The Physicist acknowledges that this Purchase Order governs the entire professional relationship between the parties for the duration specified herein.

5.2 Location of Services: Unless otherwise stated in the line items, all services shall be rendered at the buyer's premises in United States Chicago, Illinois. The Physicist may conduct up to 20% of total contracted hours via secure remote communication from any location within the United States.

5.3 Payment Terms: Payment shall be made within thirty (30) days of receipt of a valid invoice from the Physicist. Payment shall be processed via wire transfer to the bank account designated by the Physicist. Late payments shall accrue interest at a rate of 1.5% per month as permitted under Illinois commercial law.

5.4 Intellectual Property: All work product, data, models, and reports generated by the Physicist under this Purchase Order shall be the sole property of Lakeshore Advanced Research Institute, LLC. The Physicist retains the right to reference the engagement in professional credentials and academic publications, subject to a thirty-day prior review period by the buyer.

5.5 Confidentiality: The Physicist agrees to maintain strict confidentiality regarding all proprietary data, research findings, and trade secrets encountered during the performance of this Purchase Order. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.

5.6 Termination: Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of termination, the buyer shall compensate the Physicist for all services rendered up to the effective date of termination.

5.7 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Illinois, United States Chicago jurisdiction. Any disputes arising from this Purchase Order shall be resolved through binding arbitration in United States Chicago, Illinois, in accordance with the rules of the American Arbitration Association.

5.8 Independent Contractor Status: The Physicist is engaged as an independent contractor and not as an employee of the buyer. The Physicist is solely responsible for all federal and state tax obligations, including self-employment tax, applicable to compensation received under this Purchase Order.

All deliverables associated with this Purchase Order shall be submitted to the Director of Procurement at Lakeshore Advanced Research Institute, LLC, United States Chicago, within the timelines specified in the project schedule attached as Appendix A (not included in this document). The buyer shall have ten (10) business days to review and accept or reject each deliverable. Failure to respond within this period shall constitute acceptance.

The Physicist shall maintain professional liability insurance with a minimum coverage of $1,000,000 per occurrence throughout the term of this Purchase Order. The Physicist shall provide a certificate of insurance upon request. The buyer shall not be held liable for any personal injury or property damage sustained by the Physicist while performing services under this Purchase Order, except in cases of gross negligence by the buyer.
