This Purchase Order authorizes the engagement of the above-named Physicist to provide specialized scientific consulting and research services to the Pacific Coast Advanced Research Institute, Inc. The Physicist shall perform the following duties within the jurisdiction of United States Los Angeles and its surrounding metropolitan area:
- Conduct advanced theoretical analysis and computational modeling for the Institute's quantum materials research division, requiring a minimum of 120 hours of dedicated Physicist expertise over the contract period.
- Prepare and deliver a comprehensive technical report on plasma dynamics applicable to the Institute's fusion energy pilot project, to be completed within the United States Los Angeles laboratory facilities.
- Provide on-site consultation at the Institute's research campus in United States Los Angeles, no fewer than three (3) days per week, for a duration of twelve (12) consecutive weeks.
- Mentor and supervise a team of four (4) junior research associates in experimental physics methodology, ensuring compliance with all applicable United States federal and California state research safety regulations.
- Attend and present findings at the Institute's quarterly scientific symposium held in United States Los Angeles, including preparation of peer-reviewed documentation.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of California, United States, and the applicable federal statutes of the United States. Any disputes arising from this Purchase Order shall be resolved in the courts of jurisdiction in United States Los Angeles, California.
- Payment Schedule: The Buyer shall remit payment within thirty (30) calendar days of receipt of a valid invoice from the Physicist. Invoices shall reference this Purchase Order number (PO-LA-2025-04872) and shall be submitted via electronic transfer to the account designated by the Pacific Coast Advanced Research Institute, Inc.
- Intellectual Property: All research outputs, reports, models, and documentation produced by the Physicist under this Purchase Order shall be the sole property of the Buyer, except where otherwise agreed in a separate written addendum. The Physicist retains the right to publish general findings in peer-reviewed journals, subject to a thirty (30) day prior review by the Buyer.
- Confidentiality: The Physicist agrees to maintain strict confidentiality regarding all proprietary data, experimental results, and trade secrets of the Buyer encountered during the course of services rendered in United States Los Angeles. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Compliance: The Physicist warrants that all services shall be performed in full compliance with the United States Department of Energy regulations, California State University research ethics guidelines, and all applicable local ordinances within the City of Los Angeles, United States.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of early termination, the Buyer shall compensate the Physicist for all services rendered up to the date of termination, plus a reasonable wind-down fee not to exceed $5,000.00.
- Insurance: The Physicist shall maintain professional liability insurance with a minimum coverage of $1,000,000 per occurrence, valid throughout the United States, and shall provide a certificate of insurance upon request prior to commencing work.
- Independent Contractor Status: The Physicist is engaged as an independent contractor and not as an employee of the Buyer. The Physicist is solely responsible for all federal, state (California), and local (City of Los Angeles) tax obligations arising from compensation received under this Purchase Order.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters affecting the United States Los Angeles area, government-mandated closures, or pandemics.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order. This document constitutes a binding agreement for the procurement of Physicist professional services in United States Los Angeles, California.
