2. Description of Procurement

This Purchase Order is issued by Tashkent State University of Technology for the engagement of a qualified Physicist to provide specialized research, laboratory supervision, and academic consulting services. The Physicist shall be responsible for leading a multi-year research project focused on condensed matter physics and semiconductor material characterization, to be conducted at the university's main laboratory facility located in Uzbekistan Tashkent. The scope of work encompasses experimental design, data analysis, publication of peer-reviewed findings, and mentorship of graduate students enrolled in the Department of Applied Physics program.

4. Terms and Conditions

Scope of Work: The Physicist engaged under this Purchase Order shall perform all duties in accordance with the research protocol approved by the Department of Applied Physics. All experimental work shall be conducted at the designated laboratory premises in Uzbekistan Tashkent, unless prior written authorization is granted for fieldwork at other research sites within Uzbekistan.
Qualification Requirements: The Physicist must hold a minimum of a Doctor of Philosophy (PhD) degree in Physics or a closely related discipline from an accredited institution. A minimum of five (5) years of post-doctoral research experience in condensed matter physics or semiconductor science is required. The Physicist must demonstrate proficiency in both English and Uzbek to facilitate communication with local research teams in Uzbekistan Tashkent.
Payment Terms: Payment shall be made in monthly installments via bank transfer to the account designated by Quantum Research & Consulting LLC. The first installment is due within fifteen (15) business days of the commencement date. All payments are subject to the terms outlined in this Purchase Order and applicable Uzbekistan commercial law.
Intellectual Property: All research data, publications, patents, and intellectual property generated by the Physicist during the term of this Purchase Order shall be jointly owned by Tashkent State University of Technology and Quantum Research & Consulting LLC, as stipulated in the separate Intellectual Property Agreement (Ref: IP-2025-0092).
Compliance: The Physicist shall comply with all applicable laws and regulations of the Republic of Uzbekistan, including but not limited to labor law, tax obligations, and research ethics guidelines issued by the Ministry of Higher Education, Science and Innovation of Uzbekistan. Work permits and residency documentation for the Physicist in Uzbekistan Tashkent shall be the responsibility of the Buyer.
Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Physicist shall deliver all completed research materials, data sets, and documentation to the Buyer within ten (10) business days of the termination effective date.
Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through arbitration in Tashkent, Uzbekistan, in accordance with the rules of the Tashkent International Arbitration Center. The governing law shall be the civil and commercial legislation of the Republic of Uzbekistan.
Validity: This Purchase Order is valid for a period of twelve (12) months from the date of issue, unless extended by mutual written agreement of both parties.

5. Acceptance and Authorization

By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order. The Physicist services described herein shall commence on 1 July 2025, and all deliverables shall be subject to quality review by the Department of Applied Physics in Uzbekistan Tashkent prior to final acceptance.
