Payment under this Purchase Order shall be made in Vietnamese Dong (VND) via bank transfer to the account designated by the Physicist. The total contract value of 608,300,000 VND shall be disbursed according to the following schedule:

• 30% Advance Payment (182,490,000 VND): Due within 10 business days of the formal acceptance of this Purchase Order by the Physicist, prior to the commencement of services in Vietnam Ho Chi Minh City.
• 40% Milestone Payment (243,320,000 VND): Due upon completion of the Quantum Mechanics Research Supervision and Particle Physics Data Analysis deliverables, subject to written approval by the Procurement Director.
• 30% Final Payment (182,490,000 VND): Due within 15 business days of the successful completion of all remaining deliverables and submission of the final comprehensive report to the Institute in Vietnam Ho Chi Minh City.

All payments are subject to the terms and conditions set forth in this Purchase Order and applicable Vietnamese commercial law. Late payments shall incur interest at the rate of 0.05% per day as stipulated under the Civil Code of Vietnam.

• 5.1 This Purchase Order constitutes a binding agreement between the Buyer and the Physicist upon signature by both authorized representatives. All services shall be rendered in compliance with the laws and regulations of the Socialist Republic of Vietnam, specifically those governing foreign professional practice in Vietnam Ho Chi Minh City.
• 5.2 The Physicist warrants that all research findings, data analyses, and academic materials produced under this Purchase Order shall be original, free from plagiarism, and shall not infringe upon any intellectual property rights of third parties.
• 5.3 The Physicist shall maintain valid professional licensure and any required work permits for the duration of the engagement in Vietnam Ho Chi Minh City. Failure to maintain such credentials shall constitute grounds for immediate termination of this Purchase Order.
• 5.4 The Buyer reserves the right to audit the Physicist's work progress at any reasonable time during the contract period. The Physicist shall provide monthly progress reports to the Procurement Director of the Institute in Vietnam Ho Chi Minh City.
• 5.5 Confidentiality: The Physicist agrees to maintain strict confidentiality regarding all proprietary research data, unpublished findings, and internal institutional information encountered during the performance of services under this Purchase Order. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
• 5.6 Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Physicist shall be compensated for all services rendered up to the date of termination, less any advance payments already received.
• 5.7 Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Vietnam Ho Chi Minh City. If mediation fails within 60 days, the dispute shall be submitted to the People's Court of District 1, Vietnam Ho Chi Minh City, for adjudication.
• 5.8 Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting Vietnam Ho Chi Minh City.

By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the engagement of a Physicist in Vietnam Ho Chi Minh City. This Purchase Order is valid for a period of twelve (12) months from the date of issue, unless extended in writing by mutual consent.
