2. Duration: The engagement period for this Purchase Order shall commence on 1 July 2025 and conclude on 30 November 2025. All deliverables must be completed within this timeframe in Zimbabwe Harare.
3. Payment Terms: Payment shall be made in three (3) equal instalments of USD 7,546.67 each, due at the commencement of the engagement, at the midpoint (31 August 2025), and upon final delivery of all services. Payments shall be processed via bank transfer to the account specified by the Physicist in Zimbabwe Harare.
4. Tax and Compliance: All applicable Zimbabwean tax obligations, including withholding tax as prescribed by the Zimbabwe Revenue Authority (ZIMRA), shall be deducted at source. The Physicist is responsible for maintaining a valid tax clearance certificate throughout the duration of this Purchase Order.
5. Intellectual Property: All research outputs, lecture materials, and data generated under this Purchase Order while working in Zimbabwe Harare shall be jointly owned by the University of Zimbabwe and the Physicist, as stipulated in the separate Intellectual Property Agreement (Ref: UZ-IPA-2025-019).
6. Confidentiality: The Physicist shall maintain strict confidentiality regarding all proprietary data, unpublished research, and internal university matters encountered during the engagement in Zimbabwe Harare. This obligation survives the termination of this Purchase Order for a period of five (5) years.
7. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, payment shall be made pro-rata for services rendered up to the date of termination in Zimbabwe Harare.
8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Zimbabwe. Any disputes arising from this Purchase Order shall be resolved through the courts of competent jurisdiction in Harare, Zimbabwe.
9. Health and Safety: The Physicist shall comply with all health and safety regulations applicable to laboratory and academic environments in Zimbabwe Harare, including those set by the University of Zimbabwe and the Ministry of Higher and Tertiary Education.
10. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions, or public health emergencies affecting Zimbabwe Harare.

This Purchase Order has been reviewed and authorized by the undersigned officials of the University of Zimbabwe, Zimbabwe Harare. The Physicist acknowledges receipt and acceptance of all terms contained herein by signing below.
