The Physiotherapist personnel identified in this Purchase Order shall commence their duties no later than 1 August 2025 at the buyer's facility in China Guangzhou. The supplier is responsible for ensuring that all assigned Physiotherapist candidates hold a valid Chinese Medical Practitioner License (Physiotherapy category) issued by the Guangdong Provincial Health Commission and possess a minimum of five years of post-qualification clinical experience. All onboarding, background checks, and occupational health screenings must be completed within the first fourteen (14) calendar days of the commencement date.
- Payment shall be made in quarterly instalments of CNY 101,256.50, due within thirty (30) days of the end of each calendar quarter (31 March, 30 June, 30 September, 31 December).
- Payment method: Bank transfer to the supplier's designated corporate account (Bank of China, Guangzhou Branch; Account No. 7559 3000 0012 3456).
- A 5% retention shall be withheld from each quarterly payment and released in full upon satisfactory completion of the twelve-month contract term, subject to a final performance review of the Physiotherapist staff.
- Late payments shall attract interest at the rate of 0.05% per calendar day on the outstanding balance.
- All invoices must reference this Purchase Order number (PO-GZ-2025-04782) to be processed by the buyer's accounts payable department.
- This Purchase Order is governed by the Civil Code of the People's Republic of China and applicable regulations of the Guangdong Provincial Health Commission.
- The supplier warrants that every Physiotherapist assigned under this order is fully qualified, insured, and in good standing with the Chinese Association of Rehabilitation Medicine.
- The buyer reserves the right to request the replacement of any Physiotherapist who fails to meet the clinical performance standards outlined in the attached Service Level Agreement (SLA) within a thirty-day remediation period.
- All patient data handled by the Physiotherapist staff in China Guangzhou shall be processed in strict compliance with the Personal Information Protection Law of the PRC (PIPL) and the buyer's internal data governance policy.
- Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the supplier shall provide a transition plan to ensure continuity of Physiotherapist coverage at the China Guangzhou facility.
- Disputes arising from this Purchase Order shall be resolved through arbitration at the Guangzhou Arbitration Commission in accordance with its then-current rules.
- This Purchase Order constitutes the entire agreement between the parties regarding the procurement of Physiotherapist services and supersedes all prior negotiations, representations, or agreements.
