This Purchase Order is issued by MediCare Physiotherapy Group GmbH for the engagement of a qualified Physiotherapist to deliver comprehensive outpatient physiotherapy services at our primary clinic facility located in Germany Frankfurt. The Physiotherapist contracted under this Purchase Order shall provide evidence-based manual therapy, therapeutic exercise programs, electrotherapy, and patient rehabilitation consultations in full compliance with the German Physiotherapy Guidelines (Physiotherapie-Richtlinien) and the regulations of the Federal Association of Physiotherapists (Vereinigung der Physiotherapeuten Deutschlands).

The services described in this Purchase Order are to be rendered exclusively at the Germany Frankfurt clinic premises unless otherwise agreed in writing. The Physiotherapist shall maintain all professional certifications, liability insurance, and continuing education credits required by the State of Hesse throughout the duration of this Purchase Order.

1. Acceptance: This Purchase Order becomes binding upon written acceptance by the Physiotherapist within ten (10) business days of the date of issue. Failure to respond within this period shall be interpreted as rejection of this Purchase Order.
2. Service Location: All services under this Purchase Order shall be performed at the Germany Frankfurt clinic facility at Bockenheimer Landstraße 142, 60323 Frankfurt am Main, Germany, or at the designated partner hospital in Germany Frankfurt as specified in Item 05.
3. Professional Standards: The Physiotherapist shall adhere to all professional standards set forth by the German Physiotherapy Association and the Hessian State Chamber of Health Professions. Any deviation from these standards may result in immediate termination of this Purchase Order without penalty to the buyer.
4. Confidentiality: The Physiotherapist shall comply with the German Federal Data Protection Act (BDSG) and the EU General Data Protection Regulation (GDPR) regarding all patient information accessed during the performance of services under this Purchase Order.
5. Payment: Invoices shall be submitted monthly in arrears. Payment shall be made via SEPA bank transfer within thirty (30) days of invoice receipt. Late payments shall incur interest at the statutory rate under § 288 of the German Civil Code (BGB).
6. Termination: Either party may terminate this Purchase Order with a written notice period of thirty (30) days. In cases of gross professional misconduct by the Physiotherapist, the buyer reserves the right to terminate this Purchase Order immediately and without compensation.
7. Liability and Insurance: The Physiotherapist shall maintain professional liability insurance with a minimum coverage of € 1,000,000 per claim throughout the term of this Purchase Order. Proof of insurance shall be provided upon request.
8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Germany Frankfurt am Main.
9. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures affecting the Germany Frankfurt region.
10. Amendments: Any modifications to this Purchase Order must be made in writing and signed by both parties. Verbal agreements shall not constitute a valid amendment to this Purchase Order.

The Physiotherapist shall commence services no later than 1 July 2025 and shall continue for a period of six (6) months, concluding on 31 December 2025, unless extended by mutual written agreement. The Physiotherapist shall be available Monday through Friday, 08:00 to 18:00 CET, and on designated on-call days as outlined in Item 07 of this Purchase Order. All service delivery shall take place within the Germany Frankfurt metropolitan area.
