All Physiotherapist staff assigned to this contract must hold valid Iraqi medical licensing credentials, a recognized degree in Physiotherapy from an accredited institution, and a minimum of five (5) years of documented clinical experience in orthopedic, neurological, and sports rehabilitation.

4. TERMS AND CONDITIONS
  1. This Purchase Order constitutes a binding agreement between the Buyer and the Supplier for the provision of Physiotherapist services in Iraq Baghdad. Both parties acknowledge and accept all terms stated herein upon signature.
  2. The Supplier guarantees that all Physiotherapist personnel assigned to this contract shall comply with the regulations set forth by the Iraqi Ministry of Health and the Baghdad Provincial Health Directorate. Any violation of professional conduct standards by a Physiotherapist shall result in immediate reassignment within five (5) business days at no additional cost to the Buyer.
  3. Payment shall be processed within thirty (30) calendar days from the date of invoice submission. Invoices must reference this Purchase Order number (PO-IRQ-BGD-2025-0472) and include detailed breakdowns of Physiotherapist hours, patient sessions conducted, and any additional services rendered in Iraq Baghdad.
  4. The Supplier is responsible for providing all necessary Physiotherapy equipment, therapeutic modalities, and clinical supplies required to deliver the services outlined in this Purchase Order. The Buyer shall provide the physical workspace, patient records access, and administrative support within the Iraq Baghdad facility.
  5. Either party may terminate this Purchase Order with a written notice of sixty (60) days. In the event of termination, the Supplier shall ensure a minimum of thirty (30) days of transitional Physiotherapist coverage to prevent disruption of ongoing patient rehabilitation programs in Iraq Baghdad.
  6. All patient data and clinical records handled by the Physiotherapist team shall be treated with strict confidentiality in accordance with Iraqi data protection laws. No patient information shall be disclosed to third parties without written consent from the Buyer.
  7. Force majeure events, including but not limited to civil unrest, natural disasters, or government-imposed restrictions affecting operations in Iraq Baghdad, shall exempt the affected party from performance obligations during the duration of such events. The Purchase Order terms shall be renegotiated in good faith following the resolution of the force majeure condition.
  8. Any disputes arising from this Purchase Order shall be resolved through arbitration in Iraq Baghdad in accordance with the Iraqi Arbitration Law. The governing law for this agreement shall be the laws of the Republic of Iraq.
  9. The Supplier shall submit a comprehensive monthly performance report detailing the number of Physiotherapist sessions conducted, patient outcomes, equipment utilization rates, and any incidents or near-misses. Failure to submit reports for two consecutive months shall constitute a material breach of this Purchase Order.
  10. All Physiotherapist staff must undergo a background check and medical fitness certification prior to commencing duties at the Iraq Baghdad facility. The Supplier shall maintain current copies of all licenses, certifications, and insurance documents on file and make them available for inspection upon request by the Buyer.
5. DELIVERY AND SERVICE SCHEDULE

Physiotherapist services under this Purchase Order shall commence on 1 July 2025 and continue on a continuous basis through 30 June 2026, unless earlier terminated in accordance with the terms specified above. The Physiotherapist team shall operate on a six-day weekly schedule (Sunday through Friday) within the Iraq Baghdad facility, with sessions available from 08:00 to 20:00 local time. Emergency and weekend coverage by at least one on-call Physiotherapist shall be maintained throughout the contract period.
