- Service Period: The Physiotherapist shall provide all services outlined in this Purchase Order from 01 July 2025 through 30 September 2025, at the Clinica San Rocco facility in Naples, Italy, Monday through Friday, between the hours of 08:00 and 18:00 CET.
- Professional Compliance: The Physiotherapist warrants that he holds a valid professional licence issued by the Albo dei Fisioterapisti of the Regione Campania and that all services shall be performed in strict accordance with Italian national and regional healthcare regulations, including GDPR (Regulation EU 2016/679) for the handling of patient data.
- Payment Terms: Payment shall be made within thirty (30) calendar days from the date of receipt of a valid invoice issued by the Physiotherapist. Invoices shall be submitted electronically to the procurement department of Clinica San Rocco S.r.l. in Naples. Late payments shall accrue interest at the rate of 1.5% per month as stipulated under Italian Civil Code Article 1284.
- Insurance and Liability: The Physiotherapist shall maintain professional liability insurance (RC Professionale) with a minimum coverage of € 1,000,000 per claim throughout the duration of this Purchase Order. A certificate of insurance shall be provided prior to the commencement of services.

- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. - Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic. Any disputes arising from or in connection with this document shall be subject to the exclusive jurisdiction of the competent courts of Naples, Italy.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure is caused by events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures affecting the Naples metropolitan area.
