This Purchase Order is issued by Kyoto Wellness & Rehabilitation Centre (hereinafter referred to as the "Buyer") to Nishiki Physiotherapy Associates Ltd. (hereinafter referred to as the "Supplier") for the engagement of a qualified and licensed Physiotherapist to deliver comprehensive rehabilitation and therapeutic services within the Japan Kyoto metropolitan area. The Physiotherapist shall be responsible for the assessment, treatment planning, and execution of physiotherapy programmes for patients recovering from orthopaedic injuries, post-surgical rehabilitation, chronic pain management, and neurological conditions. All services shall be rendered in accordance with the standards set forth by the Japanese Physiotherapy Association and the Ministry of Health, Labour and Welfare of Japan.

3. TERMS AND CONDITIONS
  1. Scope of Services: The Supplier shall provide qualified Physiotherapist personnel who hold valid national licences issued by the Japanese government. All Physiotherapist staff assigned to the Japan Kyoto facility must possess a minimum of three (3) years of post-licensure clinical experience in their respective specialisations.
  2. Service Location: All services under this Purchase Order shall be performed exclusively at the Buyer's premises located in Higashiyama-ku, Japan Kyoto, or at approved satellite clinics within the Kyoto Prefecture as mutually agreed upon in writing.
  3. Payment Terms: Payment shall be made in monthly instalments within thirty (30) days of receipt of a valid invoice. The Supplier shall submit invoices by the fifth (5th) business day of each month. Late payments shall accrue interest at a rate of 1.5% per month as stipulated under the Japanese Late Payment of Compensation Act.
  4. Performance Standards: The Physiotherapist personnel shall adhere to the clinical protocols established by the Buyer and comply with all applicable regulations of the Ministry of Health, Labour and Welfare. Patient satisfaction scores must maintain an average of 85% or above, as measured quarterly.
  5. Confidentiality: The Supplier and all Physiotherapist staff shall maintain strict confidentiality of patient medical records in accordance with the Japanese Act on the Protection of Personal Information (APPI). Any breach of confidentiality shall constitute grounds for immediate termination of this Purchase Order.
  6. Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of material breach, the non-breaching party may terminate with fourteen (14) days' notice. Upon termination, all outstanding invoices for services rendered shall be settled within thirty (30) days.
  7. Insurance and Liability: The Supplier shall maintain professional indemnity insurance with a minimum coverage of 100,000,000 JPY per claim. The Supplier shall be liable for any damages arising from negligence or malpractice by the Physiotherapist personnel during the course of service delivery in Japan Kyoto.
  8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to natural disasters (including earthquakes, tsunamis, or volcanic activity common to the Japan Kyoto region), government mandates, or other events beyond reasonable control.
  9. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan. Any disputes shall be resolved through arbitration in Kyoto, Japan, in accordance with the rules of the Japan Commercial Arbitration Association.
IMPORTANT NOTE: This Purchase Order is subject to the Buyer's internal procurement approval process. The engagement of the Physiotherapist personnel is contingent upon successful background verification, reference checks, and confirmation of valid professional licences. The Supplier is required to submit all personnel documentation to the Buyer's Human Resources department no later than fourteen (14) days prior to the commencement date. All services are to be conducted in the Japan Kyoto facility in compliance with local fire safety, accessibility, and healthcare facility regulations. 4. SERVICE COMMENCEMENT AND DURATION

The Physiotherapist services shall commence on 1 July 2025 and shall continue for a period of twelve (12) months, concluding on 30 June 2026, unless extended by mutual written agreement. The Supplier shall ensure that all Physiotherapist personnel are inducted and familiarised with the Buyer's systems, patient records, and operational procedures within the first seven (7) days of the commencement date in Japan Kyoto.
