2. SCOPE OF THIS PURCHASE ORDER

This Purchase Order is issued by the Tokyo Metropolitan Health & Rehabilitation Services Bureau to procure the professional services of a certified Physiotherapist and associated clinical resources for deployment at the newly established Tokyo Central Rehabilitation Centre, located in the Chiyoda district of Japan Tokyo. The purpose of this Purchase Order is to secure qualified physiotherapy expertise, therapeutic equipment, and ongoing clinical support to serve the growing rehabilitation needs of residents across the Japan Tokyo metropolitan area. The selected Physiotherapist shall be responsible for designing, implementing, and supervising evidence-based rehabilitation programmes for patients recovering from orthopaedic surgery, neurological conditions, post-stroke recovery, and chronic musculoskeletal disorders. All services rendered under this Purchase Order shall comply with the standards set forth by the Japan Physiotherapy Association and the Ministry of Health, Labour and Welfare of Japan.

4. TERMS AND CONDITIONS
  1. This Purchase Order shall be governed by and construed in accordance with the laws of Japan, specifically the Civil Code of Japan and applicable regulations of the Tokyo Metropolitan Government.
  2. The Physiotherapist and all supporting clinical staff engaged under this Purchase Order must hold valid national certification issued by the Japan Physiotherapy Association and maintain current malpractice insurance coverage throughout the contract period in Japan Tokyo.
  3. All services and equipment specified in this Purchase Order shall be delivered, installed, and made operational at the designated facility in Japan Tokyo no later than the Required Delivery Date stated above. Any delay shall incur a penalty of 0.5% of the total Purchase Order value per calendar day of delay, up to a maximum of 10%.
  4. Payment shall be made in Japanese Yen (JPY) via bank transfer to the account designated by the Seller. Invoices must reference this Purchase Order number (PO-JT-2025-04872) and shall be payable within thirty (30) days of receipt of a valid invoice.
  5. The Buyer reserves the right to conduct periodic inspections of the Physiotherapist services and equipment to ensure compliance with the specifications outlined in this Purchase Order. The Seller shall provide full access to the Japan Tokyo facility for such inspections upon 48 hours' written notice.
  6. Confidentiality: All patient records, clinical data, and operational information generated in the course of fulfilling this Purchase Order in Japan Tokyo shall be treated as strictly confidential and shall not be disclosed to any third party without the prior written consent of the Buyer, in accordance with Japan's Act on the Protection of Personal Information (APPI).
  7. This Purchase Order may be amended only by mutual written agreement of both parties. Any such amendment shall be executed as a formal addendum referencing the original Purchase Order number.
  8. In the event of a dispute arising from this Purchase Order, the parties shall first attempt resolution through good-faith negotiation. Should negotiation fail, the dispute shall be submitted to the Tokyo District Court for adjudication.
  9. The Seller warrants that the Physiotherapist team shall maintain a minimum patient satisfaction score of 85% as measured by quarterly surveys conducted at the Japan Tokyo facility. Failure to meet this threshold for two consecutive quarters shall constitute grounds for termination of this Purchase Order with thirty (30) days' notice.
5. DELIVERY AND INSTALLATION DETAILS

All equipment and materials listed under Item No. 03 of this Purchase Order shall be delivered to the Tokyo Central Rehabilitation Centre, 1-2-3 Marunouchi, Chiyoda-ku, Japan Tokyo 100-0001. The Seller is responsible for all logistics, customs clearance (if applicable for imported equipment), insurance during transit, and on-site installation within the Japan Tokyo premises. The Physiotherapist team shall be present during installation to verify that all therapeutic equipment meets the clinical requirements specified in the attached technical annex of this Purchase Order.
