3. Description of Procured ServicesThis Purchase Order is issued to formally authorize the engagement of a qualified Physiotherapist to provide comprehensive rehabilitation and therapeutic services at the East Africa Rehabilitation & Wellness Centre, located in Kenya Nairobi. The Physiotherapist shall be responsible for the assessment, treatment, and ongoing management of patients requiring orthopaedic, neurological, and sports-injury rehabilitation. All services shall be delivered in accordance with the clinical protocols established by the centre and in full compliance with the regulations set forth by the Kenya Physiotherapy Association and the Ministry of Health, Republic of Kenya.

- Payment shall be made in monthly instalments of KES 296,090.00 (inclusive of VAT) within fourteen (14) calendar days of receipt of a valid invoice from the Physiotherapist or the designated service provider.
- Payment method: Electronic bank transfer to the account specified in the service agreement. All transactions shall be processed through the East Africa Rehabilitation & Wellness Centre's accounts payable department in Kenya Nairobi.
- A 5% performance bond shall be retained from each monthly payment and released in full upon satisfactory completion of the twelve-month contract term.
- Any late payment beyond the stipulated period shall attract interest at the rate of 2% per month, in accordance with Kenyan commercial law.
- This Purchase Order is subject to the terms and conditions outlined in Service Agreement SAG-2025-114 and the applicable provisions of the Kenya Contracts and Agreements Act, 2023.
- The Physiotherapist must maintain valid professional indemnity insurance with a minimum cover of KES 5,000,000 throughout the duration of this Purchase Order.
- All patient records and clinical data handled by the Physiotherapist shall be treated as strictly confidential in compliance with the Kenya Data Protection Act, 2019.
- The Physiotherapist shall report directly to the Head of Clinical Services and shall adhere to the dress code, working hours, and safety protocols of the Kenya Nairobi Westlands facility.
- Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination for cause, the terminating party shall be entitled to a full refund of any pre-paid amounts for services not yet rendered.
- All disputes arising from this Purchase Order shall be resolved through mediation in Kenya Nairobi before escalation to the High Court of Kenya, Nairobi.
- This Purchase Order does not constitute an employment relationship. The Physiotherapist is engaged as an independent contractor for the duration specified herein.
The Physiotherapist shall commence duties no later than 1 July 2025 at the East Africa Rehabilitation & Wellness Centre, Westlands Campus, Kenya Nairobi. All therapeutic equipment listed under Item 02 shall be delivered, installed, and calibrated at the facility no later than 27 June 2025. The Physiotherapist shall conduct an initial orientation and facility walkthrough on the first day of service.
