The Physiotherapist engaged under this Purchase Order shall provide evidence-based, patient-centered rehabilitation services to individuals recovering from orthopedic injuries, post-surgical conditions, neurological impairments, sports-related injuries, and chronic musculoskeletal disorders. All services shall be delivered in accordance with the standards set forth by the Nepal Physiotherapy Council and the Department of Health, Government of Nepal, Kathmandu.

The Physiotherapist shall render all services specified in this Purchase Order at the premises of Shree Himalaya Wellness & Rehabilitation Centre, Baneshwor, Nepal Kathmandu, for a continuous period of twelve (12) months commencing on 1 July 2025 and concluding on 30 June 2026, unless extended by mutual written agreement. The Physiotherapist is expected to be present at the facility from Monday through Saturday, 9:00 AM to 5:00 PM, with a one-hour lunch break. All clinical documentation, patient records, and treatment logs shall be maintained at the Kathmandu facility in compliance with Nepal's Health Data Protection Regulations.

Payment for the Physiotherapist services under this Purchase Order shall be made in monthly installments via bank transfer to the account designated by the service provider. The total contract value of NPR 1,610,600 shall be disbursed as follows:

• Advance Payment: 10% (NPR 161,060) upon execution of this Purchase Order and verification of the Physiotherapist's Nepal Physiotherapy Council license.
• Monthly Installments: The remaining 90% shall be paid in twelve equal monthly installments of NPR 120,799 each, due on the 5th of every month, subject to satisfactory completion of the monthly service deliverables.
• Final Settlement: Any outstanding balance, including adjustments for additional sessions or deductions for unsatisfactory performance, shall be settled within 15 days of contract completion.

All payments are subject to applicable Nepalese tax regulations, including Value Added Tax (VAT) at 13% and any applicable withholding tax as prescribed by the Inland Revenue Department, Kathmandu, Nepal.

The Physiotherapist engaged under this Purchase Order must hold a valid Master's degree in Physiotherapy (MPT) from a recognized institution in Nepal or an equivalently accredited foreign university. The Physiotherapist must maintain an active, unrestricted license issued by the Nepal Physiotherapy Council and must carry professional indemnity insurance with a minimum coverage of NPR 5,000,000 for the entire duration of this engagement. The Physiotherapist shall comply with all ethical guidelines, clinical protocols, and regulatory requirements established by the Government of Nepal, the Kathmandu Metropolitan City Health Office, and the Nepal Physiotherapy Council.

1. This Purchase Order becomes effective upon signature by both parties and is governed by the laws of the Kingdom of Nepal.
2. The Physiotherapist shall not subcontract or delegate any portion of the services described herein without prior written consent from the Purchasing Entity.
3. Either party may terminate this Purchase Order with thirty (30) days' written notice in the event of material breach, provided that all patient care continuity obligations are fulfilled during the notice period.
4. All patient data, clinical records, and proprietary treatment protocols developed during the engagement shall remain the property of Shree Himalaya Wellness & Rehabilitation Centre, Kathmandu, Nepal.
5. Disputes arising from this Purchase Order shall be resolved through amicable negotiation, failing which they shall be referred to arbitration under the Arbitration Act, 1999 of Nepal, with the seat of arbitration in Kathmandu.
6. The Physiotherapist shall attend all mandatory staff meetings, continuing education workshops, and quality assurance reviews conducted by the facility in Nepal Kathmandu.
