1. This Purchase Order is valid for acceptance within fourteen (14) calendar days from the date of issue. The vendor, MedEquip Africa Solutions Ltd., must confirm acceptance in writing to the procurement office in Nigeria Lagos.
2. All Physiotherapist equipment and supplies listed in this Purchase Order must be brand-new, unused, and in full compliance with the National Agency for Food and Drug Administration and Control (NAFDAC) standards applicable in Nigeria Lagos.
3. Delivery of all items shall be made to the Lagos Physiotherapy & Rehabilitation Centre facility in Nigeria Lagos no later than 28 June 2025. Late delivery beyond this date will attract a penalty of 1.5% of the total Purchase Order value per day of delay.
4. The vendor is responsible for the installation, calibration, and initial commissioning of all Physiotherapist equipment at the Nigeria Lagos clinic site. A certified Physiotherapist from our team must be present during installation to verify functionality.
5. Payment shall be made within thirty (30) days of receipt of a valid tax invoice and successful inspection of all delivered items. Payment will be processed via bank transfer to the vendor's account registered in Nigeria Lagos.
6. All Physiotherapist equipment is covered by a minimum two-year manufacturer's warranty. The annual maintenance contract (Item 10) includes quarterly preventive maintenance visits by the vendor's technical team in Nigeria Lagos.
7. The 3-day Physiotherapist Training & Certification Workshop (Item 09) must be conducted at the vendor's training facility in Nigeria Lagos or at our clinic premises, at the buyer's discretion. The workshop must be led by a certified Physiotherapist with at least ten years of clinical experience.
8. This Purchase Order is governed by the laws of the Federal Republic of Nigeria. Any disputes arising from this Purchase Order shall be resolved through arbitration in Nigeria Lagos in accordance with the Arbitration and Conciliation Act, Cap A18, Laws of the Federation of Nigeria.
9. The vendor warrants that all Physiotherapist equipment supplied is free from defects in materials and workmanship. Any defective items discovered within the warranty period shall be repaired or replaced at no additional cost to the buyer.
10. This Purchase Order constitutes the entire agreement between the parties regarding the procurement of Physiotherapist equipment and services. No modification shall be valid unless made in writing and signed by authorized representatives of both parties in Nigeria Lagos.
