1. Scope of Engagement: This Purchase Order authorizes the Supplier to recruit, place, and manage the Physiotherapist professionals listed above at the designated Ankara, Turkey clinic locations. All Physiotherapist personnel must hold a valid license issued by the Turkish Ministry of Health and be registered with the Ankara Provincial Health Directorate.
2. Service Period: The Physiotherapist services shall commence on 01 July 2025 and continue for a period of twelve (12) months, unless terminated earlier in accordance with Clause 7. The Supplier guarantees that each Physiotherapist will be present and performing duties at the assigned Turkey Ankara site no later than the start date.
3. Payment Terms: Payment shall be made in monthly installments of TRY 68,500.00 (plus applicable KDV) within fifteen (15) business days of receipt of the Supplier's invoice. The first invoice shall be due on 15 July 2025. All payments shall be transferred via bank wire to the IBAN specified in the Supplier Information section of this Purchase Order.
4. Quality & Compliance: The Supplier warrants that every Physiotherapist deployed in Turkey Ankara will possess a minimum of three (3) years of post-licensure clinical experience, a current TÜKES certification, and a clean professional conduct record. The Buyer reserves the right to request replacement of any Physiotherapist who fails to meet performance benchmarks within thirty (30) days of written notice.
5. Confidentiality & Data Protection: All patient records, clinical notes, and operational data handled by the Physiotherapist team in Ankara shall be treated as strictly confidential. The Supplier and all Physiotherapist personnel must comply with the Turkish Personal Data Protection Law (KVKK, Law No. 6698) and sign individual non-disclosure agreements prior to commencing duties.
6. Working Hours & Overtime: Standard Physiotherapist working hours in Turkey Ankara shall be Monday through Friday, 08:30–17:30, with a 45-minute lunch break. Overtime, if required, shall be compensated at 1.5 times the hourly rate and must be pre-approved in writing by the Buyer's Clinical Operations Director.
7. Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of material breach by the Supplier (including but not limited to failure to provide a qualified Physiotherapist within ten (10) business days of a vacancy), the Buyer may terminate immediately upon written notice without penalty.
8. Governing Law & Dispute Resolution: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Turkey. Any disputes arising from or in connection with this Purchase Order shall be resolved by the competent courts in Ankara, Turkey. The parties agree to attempt mediation through the Ankara Chamber of Commerce before initiating litigation.
9. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure results from events beyond reasonable control, including but not limited to natural disasters, government-mandated closures in Ankara, or public health emergencies declared by the Turkish Ministry of Health.
10. Entire Agreement: This Purchase Order, together with any attached annexes and the Supplier's standard service agreement, constitutes the entire agreement between the parties regarding the Physiotherapist services in Turkey Ankara. No modification shall be valid unless made in writing and signed by both parties.
