- Scope of Work: The Plumber (Mumbai AquaFlow Plumbing & Sanitary Services) shall perform all plumbing services and supply all materials as described in this Purchase Order at the designated site in Mumbai, Maharashtra, India. All work shall comply with the Mumbai Municipal Corporation (BMC) building by-laws, the Indian Standard (IS) codes for plumbing, and the Maharashtra Fire Service Act requirements.
- Timeline: The Plumber shall commence work within five (5) working days of the date of this Purchase Order. The entire scope of work shall be completed within sixty (60) calendar days from the commencement date, unless otherwise agreed in writing by both parties. The quarterly maintenance visits shall be conducted on the first Monday of each quarter.
- Payment Terms: Payment shall be made in Indian Rupees (INR) via NEFT/RTGS to the bank account of the Plumber as specified in the supplier details above. A 30% advance payment shall be disbursed upon acceptance of this Purchase Order. The remaining 70% shall be paid in two equal instalments: 35% upon completion of 50% of the work (subject to site inspection by the Purchaser's representative in Mumbai) and 35% upon final completion and sign-off. The quarterly maintenance fee shall be paid in advance for each quarter.
- Quality Standards: All plumbing materials supplied by the Plumber must carry valid ISI (Bureau of Indian Standards) certification. CPVC pipes must be ISI Marked Grade A. All brass fittings must be lead-free and compliant with BIS IS 15462. The Plumber shall provide material test certificates and manufacturer warranties for all supplied items.
- Warranty: The Plumber shall provide a minimum warranty of two (2) years on all workmanship and one (1) year on all supplied materials, commencing from the date of final acceptance. Any defects arising during the warranty period shall be rectified by the Plumber at no additional cost within seven (7) working days of written notice from the Purchaser.
- Compliance with Mumbai Regulations: The Plumber shall obtain all necessary permits and approvals from the Brihanmumbai Municipal Corporation (BMC) for any work involving structural modifications to drainage or water supply lines. The Plumber shall ensure that all work is carried out in compliance with the Maharashtra Pollution Control Board (MPCB) guidelines regarding disposal of old pipes and construction debris within Mumbai city limits.
- Insurance and Liability: The Plumber shall maintain comprehensive public liability insurance of not less than INR 50,00,000 (Fifty Lakh Rupees) covering all personnel and equipment while working at the Mumbai site. The Plumber shall be solely liable for any damage to property, injury to persons, or disruption to water supply caused by negligence during the execution of this Purchase Order.
- Dispute Resolution: Any dispute arising out of or in connection with this Purchase Order shall be resolved through arbitration in Mumbai, Maharashtra, India, in accordance with the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Mumbai. The language of arbitration shall be English. Both parties shall first attempt to resolve disputes amicably through written negotiation within fifteen (15) days before initiating arbitration.
- Governance: This Purchase Order shall be governed by and construed in accordance with the laws of India, specifically the Indian Contract Act, 1872, and the Goods and Services Tax (GST) Act, 2017, as applicable in the state of Maharashtra, India. The jurisdiction of courts in Mumbai, Maharashtra shall be exclusive.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to monsoon flooding in Mumbai, government-imposed lockdowns, natural disasters, or strikes, provided that the affected party notifies the other in writing within forty-eight (48) hours of the event.
- Confidentiality: Both parties agree to maintain the confidentiality of all commercial terms, site plans, and building infrastructure details disclosed in connection with this Purchase Order. This obligation shall survive the termination or completion of this Purchase Order for a period of three (3) years.
By signing below, both the Purchaser and the Plumber (Supplier) acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for plumbing services and materials to be executed in Mumbai, Maharashtra, India. This document constitutes a binding commercial agreement between the two parties.
