This Purchase Order is issued by the Baghdad Municipal Infrastructure Authority to procure the professional services of a licensed Plumber and associated plumbing works for the residential and commercial buildings located within the Al-Mansour District of Baghdad, Republic of Iraq. - Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Iraq, specifically the Iraqi Civil Code and the Baghdad Municipal By-Laws pertaining to construction and sanitation works.
- Plumber Qualification: The Plumber contractor and all supervising engineers must hold valid licenses issued by the Iraq Ministry of Construction, Housing, and Municipalities. The lead Plumber, Eng. Khalid Al-Rashid, shall remain on-site in Baghdad for the duration of the project and shall not delegate supervisory duties without prior written approval from the issuing authority.
- Timeline: All plumbing works shall commence within five (5) business days of the date of this Purchase Order and shall be completed no later than 45 calendar days from the commencement date. Delays attributable to the Plumber contractor shall incur a penalty of 0.5% of the total contract value per day of delay, capped at 10%.
- Payment Terms: Payment shall be made in three installments: 30% upon verified commencement of work in Baghdad, 50% upon completion of all installation and pressure testing, and 20% upon final acceptance and issuance of the Plumber compliance certificate. All payments shall be made in Iraqi Dinar via bank transfer to the vendor's account at the Central Bank of Iraq, Baghdad branch.
- Warranty: The Plumber contractor shall provide a minimum two-year warranty on all labor and workmanship, and a five-year warranty on all supplied materials and fixtures. Any defects discovered within the warranty period shall be rectified by the Plumber at no additional cost to the issuing authority.
- Compliance with Baghdad Regulations: All plumbing installations must adhere to the Baghdad Municipal Water and Sewerage Authority specifications. The Plumber shall obtain all necessary permits, no-objection certificates, and connection approvals from the relevant Baghdad district offices prior to commencing any excavation or connection to the municipal network.
- Insurance: The Plumber contractor shall maintain comprehensive general liability insurance and workers' compensation coverage in accordance with Iraqi labor law for the entire duration of the project, with minimum coverage of 50,000,000 IQD per occurrence.
- Dispute Resolution: Any disputes arising from this Purchase Order shall first be attempted to be resolved through amicable negotiation. Failing resolution within 30 days, the matter shall be referred to the Baghdad Commercial Court in accordance with Iraqi procedural law.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to acts of war, civil unrest in Iraq, government-imposed curfews in Baghdad, or natural disasters, provided that the affected party notifies the other in writing within 48 hours.
- Confidentiality: All technical drawings, site plans, and proprietary information exchanged under this Purchase Order relating to the plumbing infrastructure of Baghdad shall be treated as confidential and shall not be disclosed to third parties without mutual written consent.
